LICENSE AGREEMENT TO INSTALL, CONSTRUCT AND OPERATE

THIS AGREEMENT is made and entered into on this {{day}} day of {{month}}, {{year}}

BETWEEN:

{{licensor_company_name}} (Registration Number: {{licensor_company_registration_number}}), a company duly incorporated under the laws of {{licensor_country}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as "the Licensor");

AND

{{licensee_company_name}} (Registration Number: {{licensee_company_registration_number}}), a company duly incorporated under the laws of {{licensee_country}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as "the Licensee").

RECITALS

WHEREAS, the Licensor is the registered owner of the property located at {{property_address}} (hereinafter referred to as "the Property"), more fully described as {{property_description}}.

WHEREAS, the Licensee desires to install, construct, and operate {{nature_of_installation}} (hereinafter referred to as "the Installation") on a portion of the Property, for the purpose of {{purpose_of_installation}}.

WHEREAS, the Licensor has agreed to grant the Licensee a non-exclusive license to use a designated area of the Property for the aforementioned purposes, subject to the terms and conditions hereinafter appearing.

GRANT OF LICENSE

1.1. The Licensor hereby grants to the Licensee, and the Licensee hereby accepts, a non-exclusive license to enter upon, install, construct, operate, maintain, and remove the Installation on the designated area of the Property, as more fully described in Schedule A attached hereto (hereinafter referred to as "the Licensed Area").

1.2. The Licensee shall have access to the Licensed Area twenty-four (24) hours a day, seven (7) days a week, for the purposes contemplated by this Agreement, subject to reasonable access protocols as agreed upon by both parties.

TERM AND TERMINATION

2.1. This Agreement shall commence on {{start_date}} and shall continue for an initial fixed term of {{term_length_years}} ({{term_length_words}}) years (hereinafter referred to as "the Initial Term"), unless terminated earlier in accordance with the provisions of this Agreement.

2.2. Upon expiration of the Initial Term, this Agreement may be renewed for further periods as mutually agreed upon in writing by both parties, with not less than {{notice_period_days}} ({{notice_period_words}}) days' written notice prior to the expiration of the then-current term.

2.3. Either party may terminate this Agreement by giving {{termination_notice_days}} ({{termination_notice_words}}) days' written notice to the other party in the event of a material breach of any terms or conditions of this Agreement by the other party, which breach is not remedied within {{cure_period_days}} ({{cure_period_words}}) days of receipt of written notice requiring its remedy.

LICENSE FEE

3.1. In consideration for the license granted herein, the Licensee shall pay to the Licensor a monthly license fee of {{currency}} {{amount}} ({{amount_words}}) (hereinafter referred to as "the License Fee").

3.2. The License Fee shall be payable in advance on the first day of each month, commencing on {{first_payment_date}}, without demand, deduction, or set-off, into the Licensor's nominated bank account: Account Name: {{licensor_bank_account_name}}, Bank: {{licensor_bank_name}}, Account Number: {{licensor_bank_account_number}}, Branch Code: {{licensor_bank_branch_code}}.

3.3. The License Fee shall be subject to an annual escalation of {{escalation_percentage}}% effective from the anniversary of the commencement date.

OBLIGATIONS OF THE LICENSEE

4.1. The Licensee shall be responsible for obtaining all necessary permits, licenses, and approvals from relevant governmental and regulatory authorities for the installation, construction, and operation of the Installation, at its sole cost and expense.

4.2. The Licensee shall construct and maintain the Installation in a good, safe, and workmanlike manner, in accordance with all applicable laws, regulations, and industry standards.

4.3. The Licensee shall indemnify and hold harmless the Licensor from and against any and all claims, damages, losses, costs, and expenses (including legal fees) arising out of or in connection with the Licensee's installation, construction, operation, maintenance, or removal of the Installation, except to the extent caused by the gross negligence or willful misconduct of the Licensor.

4.4. The Licensee shall, at its own cost, maintain comprehensive insurance coverage for the Installation and its operations, including public liability insurance with a minimum cover of {{currency}} {{insurance_amount}}, and shall provide proof of such insurance to the Licensor upon request.

OBLIGATIONS OF THE LICENSOR

5.1. The Licensor shall grant the Licensee peaceful and undisturbed possession of the Licensed Area for the duration of this Agreement.

5.2. The Licensor shall not interfere with the Licensee's installation, construction, operation, or maintenance of the Installation, save for instances where such activities cause damage to the Property or violate the terms of this Agreement.

5.3. The Licensor shall provide reasonable assistance to the Licensee in obtaining any necessary permits or approvals, to the extent that such assistance does not incur unreasonable costs or obligations on the Licensor.

GOVERNING LAW AND DISPUTE RESOLUTION

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

6.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall first be subjected to good faith negotiations between the parties.

6.3. If the dispute cannot be resolved through negotiation within {{negotiation_period_days}} ({{negotiation_period_words}}) days, either party may refer the dispute to mediation in accordance with the rules of {{mediation_institution}}.

6.4. If mediation is unsuccessful, the dispute shall be finally settled by arbitration in accordance with the rules of {{arbitration_institution}}, by a single arbitrator appointed in accordance with the said rules. The seat of the arbitration shall be {{arbitration_city}}.

GENERAL PROVISIONS

7.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

7.2. No amendment or variation of this Agreement shall be valid unless reduced to writing and signed by both parties.

7.3. No waiver by either party of any breach of this Agreement shall be deemed to be a waiver of any subsequent breach.

7.4. If any provision of this Agreement is found to be invalid or unenforceable, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions.

7.5. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
