Marketing Consulting Agreement

This Marketing Consulting Agreement ('Agreement') is entered into as of {{date_of_agreement}} ('Effective Date'), by and between:

{{consultant_company_name}}, a company duly incorporated under the laws of {{consultant_jurisdiction}}, with its principal place of business at {{consultant_address}} ('Consultant'); and

{{client_company_name}}, a company duly incorporated under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} ('Client').

Hereinafter, the Consultant and the Client may be referred to individually as 'Party' and collectively as 'Parties'.

1. Services Provided

The Consultant agrees to provide marketing consulting services ('Services') to the Client as described in Schedule A, attached hereto and incorporated by reference. The Services shall include, but not be limited to, {{scope_of_work_summary}}.

Any changes to the scope of Services must be mutually agreed upon in writing by both Parties.

2. Term of Agreement

This Agreement shall commence on the Effective Date and shall continue in full force and effect until {{end_date_of_agreement}} ('Term'), unless terminated earlier in accordance with the provisions of this Agreement.

3. Compensation and Payment

In consideration for the Services provided, the Client shall pay the Consultant a fee of {{consulting_fee_amount}} ('Consulting Fee') as per the payment schedule outlined in Schedule B, attached hereto and incorporated by reference.

All invoices shall be paid within {{payment_due_days}} days of receipt. Late payments may incur a late fee of {{late_fee_percentage}}% per month.

4. Confidentiality

During the Term of this Agreement, the Parties may have access to confidential and proprietary information belonging to the other Party. Both Parties agree to keep all such information confidential and not to disclose it to any third party without the prior written consent of the disclosing Party.

Confidential information shall include, but not be limited to, {{types_of_confidential_information}}.

5. Intellectual Property

Any intellectual property created by the Consultant in the course of providing the Services, including but not limited to reports, designs, and marketing strategies, shall be owned by {{intellectual_property_owner}}.

6. Independent Contractor Relationship

The Consultant shall at all times be an independent contractor and not an employee, partner, or agent of the Client. The Consultant shall be solely responsible for all taxes, insurance, and other liabilities associated with its business operations.

7. Limitation of Liability

Neither Party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with this Agreement, regardless of the cause of action, even if advised of the possibility of such damages. The Consultant's total liability under this Agreement shall not exceed the total Consulting Fee paid by the Client.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute arising out of or in connection with this Agreement shall be resolved through {{dispute_resolution_method}} in {{dispute_resolution_location}}.

9. General Provisions

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral. This Agreement may not be amended or modified except in writing and signed by both Parties.

IN WITNESS WHEREOF, the Parties hereto have executed this Marketing Consulting Agreement as of the Effective Date.
