MASTER SERVICE AGREEMENT

This Master Service Agreement ("Agreement") is entered into as of {{effective_date}} ("Effective Date"), by and between:

{{service_provider_company_name}}, a company duly incorporated under the laws of {{service_provider_jurisdiction}}, with its principal place of business at {{service_provider_address}} (hereinafter referred to as the "Service Provider"); and

{{client_company_name}}, a company duly incorporated under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as the "Client").

Hereinafter collectively referred to as the "Parties" and individually as a "Party".

1. SCOPE OF SERVICES

1.1. The Service Provider shall provide services to the Client as described in individual Statements of Work ("SOWs") or Project Agreements ("PAs") that reference this Agreement. Each SOW/PA, when executed by both Parties, shall be incorporated into and become a part of this Agreement.

1.2. In the event of any conflict between the terms of this Agreement and the terms of an SOW/PA, the terms of the SOW/PA shall prevail with respect to that specific SOW/PA, unless expressly stated otherwise.

2. COMPENSATION AND PAYMENT TERMS

2.1. The Client shall pay the Service Provider for the services rendered in accordance with the fees and payment terms specified in each SOW/PA.

2.2. All invoices shall be submitted by the Service Provider to the Client on {{invoice_frequency}} and shall be due and payable within {{payment_due_days}} days from the date of the invoice.

2.3. All payments shall be made in {{currency}} to the bank account specified by the Service Provider. Late payments may incur interest at a rate of {{interest_rate_percent}}% per annum, or the maximum rate permitted by law, whichever is lower.

3. TERM AND TERMINATION

3.1. This Agreement shall commence on the Effective Date and shall continue indefinitely until terminated by either Party in accordance with the provisions herein.

3.2. Either Party may terminate this Agreement by providing {{notice_period_days}} days' written notice to the other Party.

3.3. Either Party may terminate this Agreement immediately upon written notice if the other Party (a) breaches any material provision of this Agreement and fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof, or (b) becomes insolvent, files for bankruptcy, or has a receiver appointed.

4. CONFIDENTIALITY

4.1. Both Parties acknowledge that during the course of this Agreement, they may have access to confidential and proprietary information belonging to the other Party. Such information shall include, but not be limited to, business plans, financial data, customer lists, technical data, and intellectual property (hereinafter referred to as "Confidential Information").

4.2. Each Party agrees to maintain the strictest confidence concerning all Confidential Information and not to disclose it to any third party without the prior written consent of the disclosing Party, nor to use it for any purpose other than the performance of this Agreement.

5. INTELLECTUAL PROPERTY

5.1. All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, arising from the services performed under this Agreement and any related SOWs/PAs, shall vest in and be the sole property of the {{select_party: Service Provider / Client}}. In the event that ownership vests in the Service Provider, the Service Provider grants the Client a {{license_type}} license to use such intellectual property for its internal business purposes.

6. LIMITATION OF LIABILITY

6.1. To the maximum extent permitted by applicable law, neither Party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use or alteration of your transmissions or content.

6.2. The total aggregate liability of the Service Provider to the Client under this Agreement shall not exceed the total fees paid by the Client to the Service Provider in the twelve (12) months preceding the event giving rise to the claim.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

7.2. Any dispute, controversy or claim arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}} in {{arbitration_city}}, {{arbitration_country}}. The language of the arbitration shall be English.

8. ENTIRE AGREEMENT

8.1. This Agreement, together with any executed SOWs/PAs, constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether oral or written, relating to the subject matter hereof.

9. SIGNATURES

IN WITNESS WHEREOF, the Parties hereto have executed this Master Service Agreement as of the Effective Date.
