MEMORANDUM OF AGREEMENT
This Memorandum of Agreement (hereinafter referred to as "MoA") is made and entered into on this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}}.
BETWEEN:

RECITALS

WHEREAS, both Parties have discussed and agreed upon the general terms and conditions for their intended collaboration.
PURPOSE OF AGREEMENT

SCOPE OF WORK/COLLABORATION
The Parties agree to collaborate on the following activities/scope of work:

TERMS AND CONDITIONS
1. This MoA is a non-binding expression of the Parties' intent to cooperate and does not create any legal obligations or enforceable rights beyond the termination clause.
2. Any costs incurred by either Party in connection with the discussions leading to this MoA, and any subsequent definitive agreements, shall be borne by the Party incurring such costs.
3. The Parties agree to negotiate in good faith to conclude a definitive agreement within {{number_of_days}} days from the effective date of this MoA.
4. Confidentiality: All information exchanged between the Parties during the discussions and under this MoA shall be treated as confidential and shall not be disclosed to any third party without prior written consent, except as required by law.
GOVERNING LAW

TERMINATION
This MoA may be terminated by either Party by providing {{notice_period}} days' written notice to the other Party.
Termination of this MoA will not affect any rights or obligations that have accrued prior to the effective date of termination.
ENTIRE AGREEMENT
