MEMORANDUM OF UNDERSTANDING
THIS MEMORANDUM OF UNDERSTANDING (hereinafter referred to as 'MOU') is made and entered into on this {{date}} day of {{month}}, {{year}}, by and between:
PARTY A: {{party_a_name}}, a company duly incorporated and existing under the laws of {{party_a_jurisdiction}}, with its principal place of business at {{party_a_address}} (hereinafter referred to as 'Party A'); and

(Each a 'Party' and collectively, the 'Parties')
1. PURPOSE
The purpose of this MOU is to establish a framework for cooperation and collaboration between Party A and Party B concerning {{project_description}}.
2. SCOPE OF COLLABORATION
The Parties agree to collaborate on the following areas:

3. ROLES AND RESPONSIBILITIES

4. FINANCIAL ARRANGEMENTS

5. TERM AND TERMINATION

6. CONFIDENTIALITY

7. GOVERNING LAW AND DISPUTE RESOLUTION
This MOU shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}. Any dispute, controversy or claim arising out of or relating to this MOU, or the breach, termination or invalidity thereof, shall be settled amicably through negotiation between the Parties. If the dispute cannot be resolved through negotiation, the Parties agree to explore mediation or, failing that, submit to the exclusive jurisdiction of the courts of {{dispute_resolution_jurisdiction}}.
8. ENTIRE AGREEMENT
This MOU constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral, relating thereto.
9. AMENDMENT
Any amendment or modification to this MOU must be in writing and signed by duly authorized representatives of both Parties.
