MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (hereinafter referred to as "MOU") is made and entered into on this {{day}} day of {{month}}, {{year}}.
BETWEEN:

WHEREAS:

C. This MOU is intended to set forth the general understanding between the Parties and is not intended to be a legally binding contract.
1. PURPOSE

2. AREAS OF COOPERATION
The Parties agree to cooperate in the following areas:

4. FINANCIAL ARRANGEMENTS

All expenses incurred by each Party in fulfilling its responsibilities under this MOU shall be borne solely by that Party, unless otherwise agreed upon in writing.

5. TERM AND TERMINATION
5.1. This MOU shall become effective on the date first written above and shall remain in effect for a period of {{duration_of_mou}} unless terminated earlier by either Party.

5.3. Termination of this MOU shall not affect any rights or obligations that have accrued prior to the effective date of termination.

The Parties agree to treat as confidential any information shared between them during the course of this collaboration that is designated as confidential or would reasonably be understood to be confidential. This obligation of confidentiality shall survive the termination of this MOU.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. This MOU shall be governed by and construed in accordance with the laws of {{governing_law_country}}.
7.2. Any dispute arising out of or in connection with this MOU shall be amicably resolved through negotiations between the Parties. If the Parties are unable to reach an amicable resolution, the dispute may be referred to mediation or arbitration (as specified in a subsequent binding agreement).
8. ENTIRE UNDERSTANDING
This MOU constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior discussions, negotiations, and understandings, whether written or oral.
