DATE OF CONVEYANCE

This Motor Vehicle Conveyance (hereinafter referred to as the “Agreement”) is made and entered into on this {{date_of_conveyance_day}} day of {{date_of_conveyance_month}}, {{date_of_conveyance_year}}.

PARTIES TO THE AGREEMENT

This Agreement is made BETWEEN:

1. **TRANSFEROR:** {{transferor_company_name}}, a company duly incorporated and registered under the laws of {{country}}, with its registered office located at {{transferor_company_address}} (hereinafter referred to as the “Transferor”).

AND

2. **TRANSFEREE:** {{transferee_company_name}}, a company duly incorporated and registered under the laws of {{country}}, with its registered office located at {{transferee_company_address}} (hereinafter referred to as the “Transferee”).

(The Transferor and Transferee are hereinafter collectively referred to as “the Parties” and individually as “a Party”.)

DESCRIPTION OF MOTOR VEHICLE

The Transferor hereby agrees to convey and transfer to the Transferee, and the Transferee agrees to accept, the following motor vehicle (hereinafter referred to as the “Motor Vehicle”):

CONSIDERATION

In consideration of the transfer of ownership of the Motor Vehicle, the Transferee shall pay the Transferor the sum of {{currency}} {{conveyance_amount}} ({{conveyance_amount_words}}) on or before {{payment_due_date}}. Payment shall be made by {{payment_method}} to the Transferor's designated bank account: {{transferor_bank_account_details}}.

WARRANTIES AND REPRESENTATIONS

The Transferor warrants and represents that:

a) The Transferor is the lawful owner of the Motor Vehicle and has the full right, power, and authority to convey clear title to the Transferee.

b) The Motor Vehicle is free from all encumbrances, liens, mortgages, and charges whatsoever, save for those disclosed in writing to the Transferee prior to the execution of this Agreement.

c) The Motor Vehicle has not been involved in any major accidents that would affect its structural integrity or roadworthiness, other than those disclosed to the Transferee.

d) All outstanding liabilities, including but not limited to traffic fines, taxes, and other government levies related to the Motor Vehicle up to the date of this Agreement, are and shall remain the sole responsibility of the Transferor.

DELIVERY AND ACCEPTANCE

The Motor Vehicle shall be delivered by the Transferor to the Transferee at {{delivery_location}} on {{delivery_date}}. Upon delivery, the Transferee shall inspect the Motor Vehicle and shall signify acceptance by signing the Delivery Note attached hereto as Schedule A.

TRANSFER OF RISK AND TITLE

Title to and risk of loss of the Motor Vehicle shall pass from the Transferor to the Transferee upon the successful completion of the delivery and signing of the Delivery Note, and full payment of the consideration as per Section 5.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation between the Parties. Should such negotiation fail, the dispute shall be referred to arbitration in accordance with the rules of the {{arbitration_body}}.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating thereto. No modification of this Agreement shall be effective unless in writing and signed by both Parties.
