NET EQUIPMENT LEASE AGREEMENT

This Net Equipment Lease Agreement (hereinafter referred to as the “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

LESSOR: {{lessor_company_name}}, a company duly incorporated under the laws of [country, e.g., South Africa], with its principal place of business at {{lessor_address}} (hereinafter referred to as the “Lessor”).

LESSEE: {{lessee_company_name}}, a company duly incorporated under the laws of [country, e.g., South Africa], with its principal place of business at {{lessee_address}} (hereinafter referred to as the “Lessee”).

1. LEASED EQUIPMENT

The Lessor hereby agrees to lease to the Lessee, and the Lessee hereby agrees to lease from the Lessor, the following equipment (hereinafter referred to as the “Equipment”):

2. LEASE TERM

The term of this Agreement shall commence on {{start_date}} and shall continue for a period of {{lease_term_months}} months, expiring on {{end_date}}.

3. RENTAL PAYMENTS

The Lessee shall pay to the Lessor a monthly rental fee of {{monthly_rental_amount}} {{currency}} ({{currency_in_words}}) on the {{day_of_month}} day of each month, commencing on {{first_payment_date}}.

All payments shall be made to the Lessor at the address specified above, or at such other address as the Lessor may designate in writing.

4. NET LEASE PROVISIONS

This is a Net Lease. The Lessee shall be solely responsible for all costs, expenses, and obligations relating to the Equipment during the Lease Term, including but not limited to, maintenance, repairs, insurance, taxes, licences, registration fees, and any other governmental charges or assessments.

The rental payments specified in Section 3 shall be paid without deduction or set-off for any of the aforementioned costs.

5. MAINTENANCE AND REPAIRS

The Lessee shall, at its own expense, keep and maintain the Equipment in good repair, condition, and working order, ordinary wear and tear excepted. The Lessee shall be responsible for all servicing and maintenance as recommended by the manufacturer and shall bear all costs associated with such maintenance and repairs.

6. INSURANCE

The Lessee shall obtain and maintain, at its own expense, during the entire Lease Term, comprehensive insurance coverage for the Equipment, including but not limited to, all-risk property insurance and public liability insurance. The Lessor shall be named as an additional insured on all such policies.

Proof of insurance shall be provided to the Lessor upon request.

7. TAXES AND FEES

The Lessee shall pay promptly when due all taxes, assessments, licence fees, registration fees, and other governmental charges (including VAT, if applicable) imposed upon the ownership, possession, or use of the Equipment.

8. INDEMNIFICATION

The Lessee shall indemnify, defend, and hold harmless the Lessor from and against any and all claims, demands, liabilities, actions, suits, proceedings, costs, and expenses (including legal fees) arising out of or in connection with the Lessee’s use or possession of the Equipment, or the Lessee’s breach of any term or condition of this Agreement.

9. RETURN OF EQUIPMENT

Upon the expiration or earlier termination of this Agreement, the Lessee shall, at its own expense, return the Equipment to the Lessor at {{return_address}} in the same condition as when received, reasonable wear and tear excepted.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of [country, e.g., South Africa].
