1. Parties
This Partnership Agreement ("Agreement") is made and entered into on this {{date_of_agreement}} (the "Effective Date")
BETWEEN:

AND

(Each a "Partner" and collectively, the "Partners").
2. Name and Nature of Business
2.1 The name of the partnership shall be {{partnership_name}} (the "Partnership").
2.2 The principal place of business of the Partnership shall be at {{principal_place_of_business}}.
2.3 The nature of the business to be carried on by the Partnership shall be {{nature_of_business}}.
3. Commencement of Business

4. Capital Contributions
4.1 Each Partner shall contribute capital to the Partnership as follows:

4.2 Additional capital contributions, if any, shall be mutually agreed upon by the Partners in writing.

5.1 The net profits and net losses of the Partnership shall be shared by the Partners in the following proportions:

5.2 Distributions of profits shall be made at such times as may be agreed upon by the Partners.
6. Management and Responsibilities
6.1 Each Partner shall have equal rights in the management and conduct of the Partnership business, unless otherwise specified herein.
6.2 The responsibilities of each Partner shall be as follows:

7. Duration of Partnership
The Partnership shall commence on the Effective Date and shall continue until terminated in accordance with the provisions of this Agreement.
8. Dissolution of Partnership
8.1 The Partnership may be dissolved by mutual agreement of the Partners, or upon the occurrence of any event specified herein.
8.2 In the event of dissolution, the assets of the Partnership shall be distributed in the following order:
a) To pay the debts and liabilities of the Partnership.
b) To repay the capital contributions of the Partners.
c) The balance, if any, shall be distributed among the Partners in proportion to their profit-sharing ratios.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.
10. Arbitration
Any dispute or difference arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in {{city_of_arbitration}}, in accordance with the arbitration rules of {{arbitration_institution}}.
