PHOTO LICENSE AGREEMENT

This Photo License Agreement (hereinafter “Agreement”) is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

Licensor: {{licensor_name}}, with a principal place of business at {{licensor_address}} (hereinafter “Licensor”).

Licensee: {{licensee_name}}, with a principal place of business at {{licensee_address}} (hereinafter “Licensee”).

1. DEFINITIONS

1.1 “Image(s)” refers to the photographic images specified in Schedule A attached hereto.

1.2 “Licensed Use” refers to the specific purpose and manner in which the Licensee is permitted to use the Images, as detailed in Section 2.

1.3 “Territory” refers to the geographical region where the Licensed Use is permitted, as specified in Schedule B.

2. GRANT OF LICENSE

2.1 The Licensor hereby grants to the Licensee a {{exclusive_non_exclusive}} right to use the Images solely for the purpose of {{intended_use_description}}.

2.2 This license is granted for a term commencing on {{start_date}} and terminating on {{end_date}}, unless otherwise terminated in accordance with this Agreement.

2.3 The Licensed Use is restricted to the Territory specified in Schedule B.

2.4 The Licensee shall not sublicense, lease, sell, or otherwise transfer the Images or any rights granted hereunder without the prior written consent of the Licensor.

3. LICENSE FEES

3.1 In consideration for the license granted herein, the Licensee shall pay the Licensor a fee of {{currency}} {{amount}} ({{amount_in_words}}) on or before {{payment_due_date}}.

3.2 All payments shall be made in {{payment_method}}.

4. INTELLECTUAL PROPERTY RIGHTS

4.1 The Licensor retains all intellectual property rights, including copyright, in and to the Images.

4.2 The Licensee acknowledges that it does not acquire any ownership rights in the Images by virtue of this Agreement.

4.3 The Licensee agrees to provide appropriate credit to the Licensor when using the Images, where reasonably practicable, in the following format: “Photo by {{licensor_name}}” or as otherwise agreed in writing.

5. WARRANTIES AND REPRESENTATIONS

5.1 The Licensor represents and warrants that it is the sole owner of the Images and has the full right and authority to enter into this Agreement and grant the licenses herein.

5.2 The Licensee represents and warrants that it will use the Images in accordance with all applicable laws and regulations and will not use the Images in any manner that is unlawful, defamatory, or infringes upon the rights of any third party.

6. INDEMNIFICATION

6.1 The Licensee agrees to indemnify, defend, and hold harmless the Licensor from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to the Licensee’s breach of this Agreement or its use of the Images.

7. TERMINATION

7.1 This Agreement may be terminated by either party upon written notice if the other party materially breaches any of its obligations hereunder and fails to cure such breach within {{cure_period}} days after receipt of written notice thereof.

7.2 Upon termination, the Licensee shall immediately cease all use of the Images and, at the Licensor’s option, return or destroy all copies of the Images in its possession.

8. GOVERNING LAW

8.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

9. ENTIRE AGREEMENT

9.1 This Agreement, including its Schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.
