Podcast Sponsorship Agreement

This Podcast Sponsorship Agreement (“Agreement”) is made and entered into as of {{effective_date}} (the “Effective Date”), by and between:

{{podcaster_company_name}}, a company duly organized and existing under the laws of {{podcaster_jurisdiction}}, with its principal place of business at {{podcaster_address}} (hereinafter referred to as “Podcaster”);

AND

{{sponsor_company_name}}, a company duly organized and existing under the laws of {{sponsor_jurisdiction}}, with its principal place of business at {{sponsor_address}} (hereinafter referred to as “Sponsor”).

Collectively referred to as the “Parties.”

1. Purpose of Agreement

The Sponsor desires to sponsor the Podcaster’s podcast, titled “{{podcast_name}}” (the “Podcast”), and the Podcaster agrees to provide sponsorship opportunities to the Sponsor in accordance with the terms and conditions set forth in this Agreement. This Agreement serves to define the scope of sponsorship, the deliverables from both parties, and the associated compensation.

2. Sponsorship Term

This Agreement shall commence on the Effective Date and continue for a period of {{sponsorship_term_duration}} (e.g., three (3) months, one (1) year) unless terminated earlier in accordance with the provisions of this Agreement. The sponsorship will cover {{number_of_episodes}} episodes of the Podcast, starting from episode number {{start_episode_number}}.

3. Sponsorship Deliverables

3.1. Podcaster Responsibilities:

The Podcaster agrees to provide the following sponsorship deliverables:

a. Integrated Ads: {{number_of_integrated_ads}} integrated advertisements per episode, each approximately {{integrated_ad_duration}} seconds in length, to be read by the Podcaster during their natural speaking segments.

b. Pre-Roll/Mid-Roll/Post-Roll Ads: {{number_of_preroll_ads}} pre-roll, {{number_of_midroll_ads}} mid-roll, and {{number_of_postroll_ads}} post-roll advertisements (each approximately {{ad_spot_duration}} seconds) per episode.

c. Website/Show Notes Link: Inclusion of the Sponsor’s logo and a clickable link to {{sponsor_website_url}} in the show notes for each sponsored episode and on the Podcast’s official website for the duration of the sponsorship.

d. Social Media Mentions: {{number_of_social_media_mentions}} dedicated social media mentions across {{social_media_platforms}} platforms per month, promoting the Sponsor and its products/services.

e. Brand Mentions: A minimum of {{number_of_brand_mentions}} direct mentions of the Sponsor’s brand or product during each sponsored episode.

3.2. Sponsor Responsibilities:

The Sponsor agrees to provide the Podcaster with:

a. Ad Copy and Assets: All necessary ad copy, creative assets, logos, and brand guidelines for the advertisements at least {{days_before_air_date}} days prior to the scheduled air date of each episode.

b. Product/Service Information: Timely information about products or services to be promoted, ensuring accuracy and compliance with all applicable laws and regulations.

4. Sponsorship Fee and Payment Terms

4.1. Sponsorship Fee: The Sponsor shall pay the Podcaster a total sponsorship fee of {{currency}}{{total_sponsorship_fee}} for the term of this Agreement.

4.2. Payment Schedule: The total sponsorship fee shall be paid as follows:

a. {{currency}}{{first_payment_amount}} upon the signing of this Agreement.

b. {{currency}}{{second_payment_amount}} on or before {{second_payment_date}}.

c. {{currency}}{{third_payment_amount}} on or before {{third_payment_date}}.

4.3. Payment Method: All payments shall be made via {{payment_method}} to the bank account specified by the Podcaster.

4.4. Late Payments: Any payments not received by the due date shall incur a late fee of {{late_fee_percentage}}% per month on the outstanding balance.

5. Approval and Editorial Control

The Podcaster shall submit all ad scripts and proposed mentions featuring the Sponsor’s products or services to the Sponsor for approval at least {{days_for_approval}} days prior to recording. The Sponsor shall have {{days_to_respond}} days to review and provide feedback. The Podcaster retains full editorial control over the content of the Podcast, except for the sponsored segments which must adhere to the approved ad copy and brand guidelines provided by the Sponsor. The Podcaster shall not be obligated to promote any product or service that violates its ethical standards or legal obligations.

6. Intellectual Property

6.1. Podcaster’s IP: The Podcaster retains all intellectual property rights to the Podcast content, including but not limited to, audio recordings, music, and show format.

6.2. Sponsor’s IP: The Sponsor retains all intellectual property rights to its trademarks, logos, ad copy, and other creative assets provided to the Podcaster.

6.3. License: The Sponsor grants the Podcaster a non-exclusive, non-transferable, royalty-free license to use its trademarks, logos, and ad copy solely for the purpose of fulfilling the deliverables under this Agreement during the Sponsorship Term.

7. Confidentiality

Each Party agrees to keep confidential all non-public information received from the other Party in connection with this Agreement. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

8. Termination

8.1. Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any of its obligations hereunder and fails to cure such breach within {{cure_period}} days after receiving written notice thereof.

8.2. Termination for Convenience: Neither Party may terminate this Agreement for convenience.

8.3. Effect of Termination: Upon termination, the Podcaster shall cease all sponsorship activities, and the Sponsor shall pay all outstanding fees for services rendered up to the date of termination.

9. Indemnification

Each Party agrees to indemnify, defend, and hold harmless the other Party, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to their respective breaches of this Agreement or their respective negligence or willful misconduct.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation between the Parties. If the dispute cannot be resolved through negotiation within {{negotiation_period}} days, the Parties agree to submit the dispute to binding arbitration in accordance with the rules of {{arbitration_body}}.

11. Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
