POWER PURCHASE AGREEMENT

This Power Purchase Agreement ("Agreement") is made and entered into as of {{effective_date}} ("Effective Date"), by and between:

1. PARTIES

**Seller:** {{seller_company_name}}, a company duly incorporated and existing under the laws of {{seller_jurisdiction}}, with its principal place of business at {{seller_address}} ("Seller").

**Buyer:** {{buyer_company_name}}, a company duly incorporated and existing under the laws of {{buyer_jurisdiction}}, with its principal place of business at {{buyer_address}} ("Buyer").

Seller and Buyer are hereinafter collectively referred to as the "Parties" and individually as a "Party."

2. RECITALS

WHEREAS, Seller is engaged in the business of generating and supplying electrical energy;

WHEREAS, Buyer desires to purchase and receive electrical energy from Seller, and Seller desires to sell and deliver electrical energy to Buyer, on the terms and conditions set forth in this Agreement;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. TERM OF AGREEMENT

This Agreement shall commence on the Effective Date and shall continue in full force and effect for an initial period of {{initial_term_years}} years ("Initial Term"), unless terminated earlier in accordance with the provisions of this Agreement. Upon expiry of the Initial Term, this Agreement may be renewed for successive {{renewal_term_years}} year periods upon mutual written agreement of the Parties.

4. SALE AND PURCHASE OF ELECTRICITY

**4.1. Delivery Point:** The electricity shall be delivered by Seller and received by Buyer at the delivery point located at {{delivery_point_address}} ("Delivery Point").

**4.2. Quantity:** Seller agrees to sell and deliver to Buyer, and Buyer agrees to purchase and receive from Seller, {{contract_capacity}} MW of electrical energy per annum, subject to the terms of this Agreement.

**4.3. Quality:** The electricity delivered shall meet the quality standards and specifications set forth in {{technical_annex_reference}}.

5. ELECTRICITY PRICE AND PAYMENT

**5.1. Price:** The price for the electricity shall be {{price_per_unit}} per {{unit_of_measurement}} ("Electricity Price"). The Electricity Price shall be subject to adjustments as per the provisions of Schedule A.

**5.2. Invoicing:** Seller shall issue monthly invoices to Buyer for the electricity supplied during the preceding month. Invoices shall be due and payable within {{payment_due_days}} days of the invoice date.

**5.3. Late Payment:** Any amounts not paid by the due date shall accrue interest at a rate of {{late_payment_interest_rate}}% per annum, compounded monthly.

6. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants to the other Party that it has the full power and authority to enter into and perform its obligations under this Agreement and that the execution and delivery of this Agreement will not violate any agreement or instrument to which it is a party.

7. FORCE MAJEURE

Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by a Force Majeure Event, provided that the affected Party promptly notifies the other Party of the occurrence of the Force Majeure Event and uses commercially reasonable efforts to mitigate its effects. A "Force Majeure Event" shall mean any event beyond the reasonable control of the affected Party, including but not limited to acts of God, war, terrorism, riots, insurrections, floods, fires, explosions, earthquakes, and embargos.

8. GOVERNING LAW AND DISPUTE RESOLUTION

**8.1. Governing Law:** This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

**8.2. Dispute Resolution:** Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.

9. MISCELLANEOUS

**9.1. Entire Agreement:** This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether oral or written.

**9.2. Amendments:** No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.

**9.3. Notices:** All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified or registered mail, return receipt requested, or sent by reputable overnight courier to the addresses set forth in Section 1.
