Parties

This Project Management Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{client_company_name}}, a company duly incorporated and registered under the laws of {{country}}, with its registered office located at {{client_company_address}} (hereinafter referred to as "the Client").

AND

{{project_manager_company_name}} (or individual name), a company duly incorporated and registered under the laws of {{country}}, with its registered office located at {{project_manager_company_address}} (hereinafter referred to as "the Project Manager").

Collectively referred to as "the Parties" and individually as "Party."

Recitals

WHEREAS, the Client is undertaking a project known as "{{project_name}}" (hereinafter referred to as "the Project"); and

WHEREAS, the Project Manager possesses the necessary expertise, experience, and resources to provide project management services for the Project; and

WHEREAS, the Client desires to engage the Project Manager to provide such services, and the Project Manager is willing to undertake such engagement, subject to the terms and conditions set forth herein.

Scope of Services

The Project Manager shall provide comprehensive project management services for the Project, which shall include, but not be limited to, the following:

a. Project Planning: Developing a detailed project plan, including scope definition, objective setting, task breakdown, resource allocation, and timeline development.

b. Project Execution: Overseeing the implementation of the project plan, coordinating teams, managing resources, and ensuring adherence to agreed-upon procedures.

c. Project Monitoring and Control: Tracking project progress, identifying potential risks and issues, implementing corrective actions, and reporting on performance against baselines.

d. Stakeholder Management: Facilitating communication and engagement with all project stakeholders, including the Client, team members, vendors, and other relevant parties.

e. Risk Management: Identifying, assessing, and mitigating project risks proactively to ensure successful project delivery.

f. Quality Assurance: Ensuring that all project deliverables meet the agreed-upon quality standards.

g. Project Closure: Finalizing all project activities, obtaining formal acceptance of deliverables, documenting lessons learned, and releasing project resources.

h. Reporting: Providing regular progress reports to the Client as per the reporting schedule outlined in Annex A.

Project Term

This Agreement shall commence on {{start_date}} and shall continue in full force and effect until {{end_date}}, or until the Project is completed and accepted by the Client, whichever occurs later, unless terminated earlier in accordance with the provisions of this Agreement.

Fees and Payment

a. Project Management Fee: The Client shall pay the Project Manager a total fee of {{currency}} {{total_fee}} ({{total_fee_in_words}}) for the services rendered under this Agreement.

b. Payment Schedule: The total fee shall be paid in installments as follows:

i. {{percentage_1}}% ({{currency}} {{amount_1}}) upon signing of this Agreement.

ii. {{percentage_2}}% ({{currency}} {{amount_2}}) upon completion of {{milestone_1}}.

iii. {{percentage_3}}% ({{currency}} {{amount_3}}) upon completion of {{milestone_2}}.

iv. The remaining {{percentage_4}}% ({{currency}} {{amount_4}}) upon final completion and acceptance of the Project.

c. Invoicing: The Project Manager shall submit invoices to the Client in accordance with the payment schedule. All invoices shall be paid within {{payment_days}} days of receipt.

d. Expenses: The Client shall reimburse the Project Manager for all reasonable and pre-approved out-of-pocket expenses incurred in connection with the Project, upon presentation of valid receipts. Such expenses shall not exceed {{currency}} {{maximum_expenses}} without prior written consent from the Client.

Client's Responsibilities

The Client shall:

a. Provide the Project Manager with all necessary information, documentation, and access to facilities and personnel required for the proper execution of the Project.

b. Appoint a primary contact person to liaise with the Project Manager.

c. Make timely decisions and approvals as may be required by the Project Manager to avoid project delays.

d. Pay all fees and expenses as stipulated in this Agreement.

Confidentiality

Both Parties agree to keep confidential all information, whether oral or written, concerning the other Party's business, finances, operations, and the Project, which may be disclosed during the term of this Agreement. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period}} years.

Termination

a. Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any term or condition of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.

b. Termination for Convenience: Either Party may terminate this Agreement for convenience by providing {{notice_period}} days' prior written notice to the other Party. In such an event, the Client shall pay the Project Manager for all services rendered and expenses incurred up to the date of termination.

c. Effect of Termination: Upon termination, the Project Manager shall hand over all project documents and deliverables to the Client, and the Client shall pay all outstanding fees and expenses.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by amicable negotiation between the Parties. If the dispute cannot be resolved amicably within {{negotiation_period}} days, it shall be referred to arbitration in accordance with the rules of the {{arbitration_body}}.

Entire Agreement

This Agreement constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and discussions, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by duly authorized representatives of both Parties.
