PROXY AGREEMENT

This Proxy Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

1. APPOINTMENT OF PROXY

The Principal hereby irrevocably appoints the Proxy as their true and lawful attorney and proxy, with full power and authority to act in the Principal's name, place, and stead, in connection with the following matters:

2. SCOPE OF AUTHORITY

The Proxy is hereby authorized to perform the following specific acts:

a. To attend and vote at any general or special meeting of {{entity_name}} held on {{date_of_meeting}} concerning {{purpose_of_meeting}}.

b. To represent the Principal in all matters relating to {{specific_transaction_or_event}}, including but not limited to, signing documents, entering into agreements, and making decisions.

3. DURATION OF PROXY

4. REVOCATION OF PROXY

The Principal reserves the right to revoke this Proxy Agreement at any time by providing written notice to the Proxy. Such revocation shall be effective upon receipt of the written notice by the Proxy. Any acts performed by the Proxy in good faith prior to receiving such revocation notice shall remain valid and binding upon the Principal.

5. INDEMNIFICATION

The Principal agrees to indemnify and hold harmless the Proxy from and against any and all claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of or in connection with the Proxy's good faith exercise of the authority granted herein, provided that such acts are within the scope of this Agreement.

6. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of {{country}}, without regard to its conflict of laws principles. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{city}}, {{country}}.

7. ENTIRE AGREEMENT
