Publishing Agreement
RECITALS
A. The Author is the sole author and owner of the original literary work tentatively titled "{{work_title}}" (the "Work").
B. The Publisher is engaged in the business of publishing and distributing literary works.
C. The Author desires to grant the Publisher certain rights to publish and distribute the Work, and the Publisher desires to accept such rights and publish the Work, all in accordance with the terms and conditions set forth in this Agreement.
GRANT OF RIGHTS
1.1. The Author hereby grants to the Publisher, its successors and assigns, the exclusive right to publish, distribute, and sell the Work throughout the world during the term of this Agreement, in all languages and in all formats, including but not limited to print, electronic (e-book), and audio.
1.2. The Publisher shall have the exclusive right to license subsidiary rights in the Work, including but not limited to translation rights, dramatic rights, film rights, television rights, and merchandising rights, subject to the royalty provisions contained herein.
MANUSCRIPT DELIVERY AND ACCEPTANCE
2.1. The Author shall deliver the complete and final manuscript of the Work to the Publisher by {{delivery_date}}.
2.2. The Publisher shall have the right to approve the final manuscript. If the Publisher deems the manuscript unsatisfactory, the Author shall have {{days_to_revise}} days to make necessary revisions. If the revised manuscript is still unsatisfactory, the Publisher may terminate this Agreement.
PUBLICATION AND PROMOTION
3.1. The Publisher shall publish the Work within {{months_to_publish}} months of the acceptance of the final manuscript.
3.2. The Publisher shall determine the title, pricing, cover design, and marketing strategy for the Work.
3.3. The Publisher shall bear all costs associated with the editing, production, publication, marketing, and distribution of the Work.
ROYALTIES AND PAYMENTS
4.1. The Publisher shall pay the Author a royalty of {{royalty_percentage}}% of the net receipts received by the Publisher from the sale of the Work.
4.2. For subsidiary rights licensed by the Publisher, the Author shall receive {{subsidiary_royalty_percentage}}% of the net receipts derived from such licenses.
4.3. Royalties shall be calculated and paid on a semi-annual basis, within {{days_after_period}} days after the end of each royalty period ({{royalty_period_start}} to {{royalty_period_end}}).
4.4. The Publisher shall provide the Author with a detailed statement of sales and royalties for each royalty period.
WARRANTIES AND INDEMNIFICATION
5.1. The Author warrants that the Work is original, does not infringe upon any copyright or proprietary right of any third party, and does not contain any libelous or unlawful material.
5.2. The Author shall indemnify and hold harmless the Publisher from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of any breach of the Author's warranties under this Agreement.
TERM AND TERMINATION
6.1. This Agreement shall commence on {{effective_date}} and shall continue for a term of {{agreement_term}} years, unless terminated earlier in accordance with the provisions herein.
6.2. Either party may terminate this Agreement upon {{notice_period}} days' written notice to the other party in the event of a material breach of this Agreement by the other party, provided such breach is not cured within the notice period.
6.3. Upon termination, all rights granted to the Publisher hereunder shall revert to the Author, subject to any outstanding licenses granted prior to termination.
GOVERNING LAW AND DISPUTE RESOLUTION
7.1. This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.
7.2. Any dispute, controversy, or claim arising out of or in connection with this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_body}}.
ENTIRE AGREEMENT
8.1. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations, whether written or oral.
8.2. This Agreement may not be amended or modified except in writing signed by both parties.
