Real Estate Purchase Agreement

This Real Estate Purchase Agreement ("Agreement") is made and entered into as of {{date}} (the "Effective Date"), by and between:

Seller: {{seller_name}}, residing at/with principal place of business at {{seller_address}} ("Seller").

Buyer: {{buyer_name}}, residing at/with principal place of business at {{buyer_address}} ("Buyer").

The Seller and Buyer are hereinafter collectively referred to as the "Parties" and individually as a "Party".

1. Property Description

The Seller agrees to sell, and the Buyer agrees to purchase, the real property located at {{property_address}}, {{city}}, {{province/state}}, {{postal_code/zip_code}}, legally described as {{legal_description}} (the "Property").

The Property includes all fixtures, improvements, appurtenances, and personal property listed in Schedule A attached hereto (if any).

2. Purchase Price

The total purchase price for the Property is {{currency}} {{purchase_price}} (the "Purchase Price"), payable by the Buyer to the Seller as follows:

a. An earnest money deposit of {{currency}} {{earnest_money_deposit}} (the "Earnest Money Deposit") shall be paid by the Buyer upon the execution of this Agreement, to be held in escrow by {{escrow_agent_name}}.

b. The remaining balance of the Purchase Price, amounting to {{currency}} {{remaining_balance}}, shall be paid at closing, subject to adjustments and prorations as provided herein.

3. Payment Terms

The Earnest Money Deposit shall be applied towards the Purchase Price at closing. If the sale is not consummated due to default of the Buyer, the Earnest Money Deposit shall be forfeited to the Seller as liquidated damages.

The balance of the Purchase Price shall be paid by {{payment_method}} (e.g., wire transfer, certified cheque) at the closing.

4. Closing

The closing of the sale shall take place on or before {{closing_date}} at {{closing_time}} at {{closing_location}}, or at such other time and place as the Parties may mutually agree upon in writing (the "Closing Date").

Possession of the Property shall be delivered to the Buyer on the Closing Date.

5. Contingencies

This Agreement is contingent upon the following conditions:

a. Buyer obtaining satisfactory financing within {{financing_contingency_days}} days from the Effective Date.

b. A satisfactory property inspection report completed by an inspector of Buyer's choice within {{inspection_contingency_days}} days from the Effective Date.

c. Appraisal of the Property for at least the Purchase Price by {{appraisal_contingency_days}} days from the Effective Date.

6. Representations and Warranties

Seller represents and warrants that:

a. Seller has good and marketable title to the Property, free and clear of all liens, encumbrances, and adverse claims, except as disclosed herein.

b. There are no pending or threatened litigation or governmental actions affecting the Property except as disclosed herein.

c. The Property is in compliance with all applicable zoning and environmental laws, to the best of Seller's knowledge.

Buyer represents and warrants that:

a. Buyer has the legal capacity to enter into this Agreement and perform Buyer's obligations hereunder.

7. Default

In the event of a default by the Buyer, the Seller may, at Seller's option, terminate this Agreement and retain the Earnest Money Deposit as liquidated damages, or pursue any other remedies available at law or in equity.

In the event of a default by the Seller, the Buyer may, at Buyer's option, terminate this Agreement and receive a refund of the Earnest Money Deposit, or pursue specific performance or any other remedies available at law or in equity.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

9. Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.

10. Signature Block
