Parties

This Record Label Agreement ("Agreement") is made and entered into as of {{effective_date}} (the "Effective Date")

BETWEEN:

**{{record_label_name}}** (Registration Number: {{record_label_reg_number}}), a company duly incorporated under the laws of {{jurisdiction}}, with its principal place of business at {{record_label_address}} (hereinafter referred to as the "Label");

AND

**{{artist_name}}** (Identity Number: {{artist_id_number}}), an individual residing at {{artist_address}} (hereinafter referred to as the "Artist").

The Label and the Artist are hereinafter collectively referred to as the "Parties" and individually as a "Party".

Engagement and Term

The Artist hereby grants to the Label the exclusive right to record, produce, manufacture, distribute, market, and promote musical recordings featuring the Artist's performances (the "Recordings") within the Territory (as defined below) for the Term (as defined below).

The initial term of this Agreement shall commence on the Effective Date and continue for a period of {{initial_term_years}} ({{initial_term_years_words}}) years ("Initial Term").

This Agreement may be renewed for {{renewal_options}} additional terms of {{renewal_term_years}} ({{renewal_term_years_words}}) years each, at the sole option of the Label, provided written notice of renewal is given to the Artist at least {{notice_period_days}} days prior to the expiration of the then-current term.

Territory

The territory covered by this Agreement ("Territory") shall be {{territory_description}}.

Recording Commitments

The Artist agrees to record and deliver to the Label a minimum of {{number_of_albums}} ({{number_of_albums_words}}) full-length albums or {{number_of_singles}} ({{number_of_singles_words}}) singles during the Initial Term, at mutually agreed-upon intervals. The Label shall bear the costs of recording, production, mixing, and mastering, up to a pre-approved budget of {{recording_budget_currency}} {{recording_budget_amount}} per album/single.

Royalties and Payments

The Label shall pay the Artist a royalty of {{artist_royalty_percentage}}% of the net receipts derived from the sale and exploitation of the Recordings, after deduction of customary third-party costs (e.g., distribution fees, mechanical licenses).

Net receipts shall be calculated on a {{reporting_period}} basis and paid to the Artist within {{payment_days}} days of the end of each reporting period.

The Artist shall be entitled to an advance payment of {{advance_payment_currency}} {{advance_payment_amount}}, recoupable against future royalties.

Marketing and Promotion

The Label commits to actively market and promote the Recordings through various channels, including but not limited to, digital platforms, traditional media, and live performances. The Label shall have creative control over all marketing and promotional materials.

Rights and Ownership

The Artist acknowledges that all master recordings created under this Agreement shall be the sole and exclusive property of the Label.

The Artist grants the Label a perpetual, worldwide, irrevocable, and royalty-free license to use the Artist's name, likeness, and biographical information for promotional purposes related to the Recordings.

Termination

Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any provision of this Agreement and fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof.

Upon termination, all rights granted to the Label shall revert to the Artist, subject to any outstanding obligations or recoupable advances.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, or termination, shall be referred to and finally resolved by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_institution}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and negotiations, whether written or oral, relating to the subject matter hereof.
