REFERRAL FEE AGREEMENT

This Referral Fee Agreement ('Agreement') is made and entered into as of this {{date_of_agreement}} day of {{month_of_agreement}}, {{year_of_agreement}} ('Effective Date'), by and between:

{{referrer_company_name}}, a company duly incorporated under the laws of {{referrer_jurisdiction}}, with its principal place of business at {{referrer_address}} (hereinafter referred to as 'the Referrer'); and

{{recipient_company_name}}, a company duly incorporated under the laws of {{recipient_jurisdiction}}, with its principal place of business at {{recipient_address}} (hereinafter referred to as 'the Recipient').

Collectively referred to as 'the Parties'.

RECITALS

WHEREAS, the Referrer is engaged in the business of {{referrer_business_description}} and has established relationships with potential clients/customers;

WHEREAS, the Recipient is engaged in the business of {{recipient_business_description}} and is desirous of obtaining new clients/customers;

WHEREAS, the Referrer desires to refer potential clients/customers to the Recipient, and the Recipient desires to compensate the Referrer for such successful referrals, in accordance with the terms and conditions set forth herein.

1. REFERRAL OF CLIENTS/CUSTOMERS

1.1. The Referrer agrees to refer potential clients/customers ('Referred Clients') to the Recipient for the purpose of {{purpose_of_referral_services_or_products}}.

1.2. The Recipient acknowledges that the Referrer is not an agent or employee of the Recipient and has no authority to bind the Recipient to any agreement or obligation.

1.3. For a referral to be deemed valid under this Agreement, the Referrer must notify the Recipient in writing (via email or other agreed-upon method) of the potential Referred Client's details (e.g., {{referred_client_name}}, {{referred_client_contact_details}}) prior to any engagement or transaction between the Recipient and the Referred Client. The Recipient shall confirm receipt of such referral notification.

2. REFERRAL FEE

2.1. In consideration for a successful referral, the Recipient agrees to pay the Referrer a referral fee ('Referral Fee') equal to {{referral_fee_percentage}}% of the net revenue generated from the Referred Client for {{referral_fee_duration}}.

2.2. The 'net revenue' shall be defined as {{definition_of_net_revenue_e.g._gross_revenue_less_returns_discounts_and_taxes}}.

2.3. The Referral Fee shall only be payable for transactions successfully closed between the Recipient and a Referred Client within {{validity_period_of_referral_in_days}} days from the date of the valid referral notification (as per Clause 1.3).

2.4. No Referral Fee shall be payable for any clients/customers that the Recipient was already actively pursuing or had an existing relationship with prior to the referral notification. The Recipient shall notify the Referrer in writing within {{notification_period_in_days}} days of receiving a referral if such a pre-existing relationship or pursuit exists.

3. PAYMENT TERMS

3.1. The Recipient shall calculate and pay the Referral Fee to the Referrer on a {{payment_frequency_e.g._monthly_quarterly}} basis, within {{payment_days}} days after the end of each {{payment_period}}.

3.2. Each payment shall be accompanied by a detailed statement outlining the transactions with Referred Clients, the net revenue generated, and the calculation of the Referral Fee.

3.3. All payments shall be made in {{currency}} to the bank account specified by the Referrer: Bank Name: {{referrer_bank_name}}, Account Holder: {{referrer_account_holder}}, Account Number: {{referrer_account_number}}, SWIFT/BIC: {{referrer_swift_bic}}.

4. TERM AND TERMINATION

4.1. This Agreement shall commence on the Effective Date and continue until terminated by either Party.

4.2. Either Party may terminate this Agreement by providing {{notice_period_in_days}} days' written notice to the other Party.

4.3. Upon termination, the Recipient shall remain obligated to pay any Referral Fees accrued prior to the effective date of termination, as well as for any transactions with Referred Clients that were successfully initiated or contractually bound before the termination date, subject to the terms of Clause 2.

5. CONFIDENTIALITY

5.1. Both Parties agree to keep confidential all proprietary and confidential information disclosed by the other Party during the term of this Agreement, including but not limited to client lists, business strategies, and financial information.

5.2. This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_in_years}} years.

6. INDEMNIFICATION

6.1. Each Party ('Indemnifying Party') shall indemnify, defend, and hold harmless the other Party ('Indemnified Party') from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach by the Indemnifying Party of its representations, warranties, or obligations under this Agreement.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

7.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by negotiation between the Parties.

7.3. If the dispute cannot be resolved through negotiation within {{negotiation_period_in_days}} days, the Parties agree to submit the dispute to mediation in {{mediation_location}} in accordance with the rules of {{mediation_body_or_association}}.

7.4. If mediation is unsuccessful, the dispute shall be finally settled by arbitration in {{arbitration_location}} in accordance with the rules of {{arbitration_body_or_association}}.

8. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the Parties.
