RENEWAL AGREEMENT

This Renewal Agreement is made and entered into on {{date_of_agreement}}.

Parties

Recitals

WHEREAS, the Parties previously entered into an agreement titled "{{original_agreement_title}}" on {{original_agreement_date}} (hereinafter referred to as "the Original Agreement").

AND WHEREAS, the Parties desire to renew the Original Agreement for an additional term, subject to the terms and conditions set forth herein.

Renewal Term

The Parties hereby agree to renew the Original Agreement for a period of {{renewal_period_years}} ({{renewal_period_years_text}}) years, commencing on {{renewal_start_date}} and terminating on {{renewal_end_date}}.

Terms and Conditions

All terms and conditions of the Original Agreement shall remain in full force and effect during the Renewal Term, except as expressly modified by this Renewal Agreement.

Any modifications to the Original Agreement during the Renewal Term must be made in writing and signed by both Parties.

Consideration

In consideration of this Renewal Agreement, Party A shall pay Party B the sum of {{renewal_consideration_amount}} ({{renewal_consideration_currency}}) on or before {{consideration_due_date}}.

Alternatively, the consideration for this renewal shall be as outlined in Clause {{original_agreement_consideration_clause}} of the Original Agreement, or as mutually agreed upon in writing by the Parties.

This Renewal Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Entire Agreement

This Renewal Agreement constitutes the entire agreement between the Parties with respect to the renewal of the Original Agreement and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
