Repurchase Agreement for Equipment

This Repurchase Agreement (the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{seller_company_name}}, a company duly registered under the laws of {{seller_jurisdiction}}, with its principal place of business at {{seller_address}} (hereinafter referred to as the 'Seller');

AND

{{buyer_company_name}}, a company duly registered under the laws of {{buyer_jurisdiction}}, with its principal place of business at {{buyer_address}} (hereinafter referred to as the 'Buyer').

The Seller and the Buyer are hereinafter collectively referred to as the 'Parties' and individually as a 'Party'.

Recitals

WHEREAS, the Seller is the lawful owner of certain equipment as described herein, which the Seller desires to sell to the Buyer;

WHEREAS, the Buyer desires to purchase the said equipment from the Seller;

WHEREAS, the Parties agree that concurrently with the sale, the Buyer shall sell and the Seller shall repurchase the same equipment at a later date, subject to the terms and conditions set forth in this Agreement.

Sale and Purchase of Equipment

1.1. On the Effective Date, the Seller shall sell, transfer, convey, and deliver to the Buyer, and the Buyer shall purchase and accept from the Seller, the equipment specified in Schedule A (the 'Equipment').

1.2. The purchase price for the Equipment shall be {{purchase_price_currency}} {{purchase_price_amount}} ({{purchase_price_amount_words}}) (the 'Purchase Price'), payable by the Buyer to the Seller upon the execution of this Agreement.

Repurchase Obligation

2.1. The Buyer hereby agrees to sell, and the Seller hereby agrees to repurchase, the Equipment on the Repurchase Date.

2.2. The 'Repurchase Date' shall be {{repurchase_date}}.

2.3. The repurchase price for the Equipment shall be {{repurchase_price_currency}} {{repurchase_price_amount}} ({{repurchase_price_amount_words}}) (the 'Repurchase Price'), which includes the original Purchase Price plus an agreed-upon financing charge. The Repurchase Price shall be paid by the Seller to the Buyer on the Repurchase Date.

Representations and Warranties

3.1. The Seller represents and warrants that it has good and marketable title to the Equipment, free and clear of all liens, encumbrances, and adverse claims whatsoever.

3.2. The Seller further represents and warrants that the Equipment is in good working order and condition, subject to normal wear and tear, and is fit for its intended purpose.

Default

4.1. In the event the Seller fails to repurchase the Equipment on the Repurchase Date and pay the Repurchase Price, the Buyer shall have the right to retain the Equipment and pursue any other remedies available at law or in equity.

Governing Law and Jurisdiction

5.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

5.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{arbitration_jurisdiction}}.

Entire Agreement

6.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
