Reseller Agreement

This Reseller Agreement (hereinafter the “Agreement”) is made and entered into as of {{effective_date}} (the “Effective Date”), by and between:

1. {{company_name}}, a company duly incorporated under the laws of {{company_jurisdiction}}, with its principal place of business at {{company_address}} (hereinafter referred to as the “Principal”); and

2. {{reseller_company_name}}, a company duly incorporated under the laws of {{reseller_jurisdiction}}, with its principal place of business at {{reseller_address}} (hereinafter referred to as the “Reseller”).

The Principal and the Reseller are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

1. Appointment of Reseller

1.1. The Principal hereby appoints the Reseller as a non-exclusive/exclusive (delete as applicable) reseller of the Principal’s products/services (hereinafter the “Products/Services”), as more fully described in Schedule A, within the territory of {{territory}} (hereinafter the “Territory”).

1.2. The Reseller accepts such appointment and agrees to use its best efforts to promote, market, and sell the Products/Services within the Territory in accordance with the terms and conditions of this Agreement.

2. Term of Agreement

2.1. This Agreement shall commence on the Effective Date and shall continue for an initial term of {{initial_term_years}} ({{initial_term_years_words}}) years, unless terminated earlier in accordance with the provisions of this Agreement.

2.2. This Agreement shall automatically renew for successive periods of {{renewal_term_years}} ({{renewal_term_years_words}}) years unless either Party provides written notice of its intention not to renew at least {{notice_period_days}} ({{notice_period_days_words}}) days prior to the end of the then-current term.

3. Pricing and Payment

3.1. The Principal shall provide the Products/Services to the Reseller at the prices set forth in Schedule B, or as otherwise agreed upon in writing by the Parties.

3.2. The Reseller shall be entitled to set its own retail prices for the Products/Services, provided that such prices do not undermine the Principal’s brand image or market position.

3.3. Payment terms shall be {{payment_terms}} from the date of invoice. All payments shall be made in {{currency}} to the bank account specified by the Principal.

4. Reseller Obligations

4.1. The Reseller shall market, promote, and sell the Products/Services in a professional and diligent manner, consistent with the Principal’s brand guidelines and marketing materials.

4.2. The Reseller shall provide adequate technical support and customer service to end-users of the Products/Services within the Territory.

4.3. The Reseller shall not make any representations, warranties, or guarantees concerning the Products/Services that are inconsistent with or in addition to those made by the Principal.

4.4. The Reseller shall provide the Principal with regular sales reports at intervals of {{reporting_interval}} detailing sales activity, customer feedback, and market conditions within the Territory.

5. Principal Obligations

5.1. The Principal shall provide the Reseller with access to all necessary product information, marketing materials, sales tools, and training as reasonably required to effectively market and sell the Products/Services.

5.2. The Principal shall provide warranty support for the Products/Services in accordance with its standard warranty policy.

5.3. The Principal shall supply the Products/Services to the Reseller in a timely manner and at the agreed-upon prices.

6. Intellectual Property

6.1. All intellectual property rights in the Products/Services, including but not limited to trademarks, copyrights, and patents, shall remain the sole property of the Principal.

6.2. The Principal grants the Reseller a non-exclusive, non-transferable, revocable license to use the Principal’s trademarks and marketing materials solely for the purpose of promoting and selling the Products/Services within the Territory during the term of this Agreement.

7. Confidentiality

7.1. Both Parties agree to keep confidential all non-public information disclosed by the other Party in connection with this Agreement, including but not limited to business plans, customer lists, pricing information, and technical data.

7.2. This confidentiality obligation shall survive the termination or expiration of this Agreement for a period of {{confidentiality_period_years}} ({{confidentiality_period_years_words}}) years.

8. Termination

8.1. Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any of its obligations hereunder and fails to cure such breach within {{cure_period_days}} ({{cure_period_days_words}}) days of receiving written notice thereof.

8.2. Either Party may terminate this Agreement for convenience by providing {{notice_period_termination_days}} ({{notice_period_termination_days_words}}) days’ written notice to the other Party.

9. Governing Law and Dispute Resolution

9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

9.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{jurisdiction_city}}, {{jurisdiction_country}}.
