PARTNERSHIP AGREEMENT
This Partnership Agreement ("Agreement") is made and entered into on this {{date}} by and between:
Party 1: {{partner1_name}}, with identity number {{partner1_id_number}}, residing at {{partner1_address}} (hereinafter referred to as "Partner 1").
Party 2: {{partner2_name}}, with identity number {{partner2_id_number}}, residing at {{partner2_address}} (hereinafter referred to as "Partner 2").
(Collectively referred to as "the Partners" and individually as "Partner").
1. NAME AND NATURE OF BUSINESS
1.1 The name of the partnership shall be "{{restaurant_name}}" (hereinafter referred to as "the Business").
1.2 The Business shall be engaged in the operation of a restaurant, offering {{cuisine_type}} cuisine and related services, located at {{restaurant_address}}.
2. COMMENCEMENT DATE AND DURATION
2.1 The partnership shall commence on {{start_date}} and shall continue indefinitely unless terminated earlier in accordance with the provisions of this Agreement.
3. CAPITAL CONTRIBUTIONS
3.1 Each Partner shall contribute capital to the Business as follows:
Partner 1: Cash contribution of {{partner1_cash_contribution}} and/or assets valued at {{partner1_asset_contribution_value}} (detailed in Schedule A).
Partner 2: Cash contribution of {{partner2_cash_contribution}} and/or assets valued at {{partner2_asset_contribution_value}} (detailed in Schedule A).
3.2 Future capital contributions, if required, shall be mutually agreed upon by the Partners.
4. PROFIT AND LOSS SHARING
4.1 Net profits and losses of the Business shall be shared between the Partners in the following proportions:

4.2 Distributions of profits shall be made {{distribution_frequency}} (e.g., quarterly, annually), or as otherwise agreed upon by the Partners.
5. MANAGEMENT AND RESPONSIBILITIES
5.1 The Partners shall jointly manage the Business. Key decisions shall require the unanimous consent of all Partners.
5.2 Specific responsibilities shall be allocated as follows:

6. BANK ACCOUNTS

7. DISPUTE RESOLUTION
7.1 Any dispute or difference arising out of or in connection with this Agreement shall, in the first instance, be referred to mediation in accordance with the rules of {{mediation_body}}.
7.2 If the dispute is not resolved through mediation within {{mediation_period}} days, it shall be referred to arbitration in accordance with the rules of {{arbitration_body}}.
8. TERMINATION OF PARTNERSHIP
8.1 The partnership may be terminated by mutual agreement of the Partners, by the effluxion of time if a fixed term was agreed, or by notice by a Partner in accordance with this Agreement.
8.2 In the event of termination, the assets and liabilities of the Business shall be wound up and distributed in accordance with the Partners' respective capital contributions and profit-sharing ratios, after all partnership debts have been settled.
9. GOVERNING LAW
9.1 This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.
