RETAINER AGREEMENT

This Retainer Agreement ("Agreement") is made and entered into as of {{date_of_agreement}} ("Effective Date"), by and between {{service_provider_company_name}}, with its principal place of business at {{service_provider_address}} ("Service Provider"), and {{client_company_name}}, with its principal place of business at {{client_address}} ("Client").

1. SCOPE OF SERVICES

The Service Provider agrees to provide the following services to the Client (the "Services"): {{description_of_services}}.

The Services shall be performed with due diligence, professional skill, and care, in accordance with industry standards and best practices.

2. RETAINER FEE AND PAYMENT TERMS

In consideration for the Service Provider's availability and commitment to provide the Services, the Client shall pay a non-refundable retainer fee of {{currency}}{{retainer_fee_amount}} (the "Retainer Fee").

The Retainer Fee shall be paid on or before {{retainer_payment_due_date}}.

Any services rendered beyond the scope covered by the Retainer Fee, or after the Retainer Period, will be billed at the Service Provider's standard hourly rate of {{currency}}{{hourly_rate_amount}} per hour, unless otherwise agreed upon in writing.

Invoices for additional services will be issued on a {{billing_frequency}} basis and are due within {{payment_due_days}} days of receipt.

3. RETAINER PERIOD

This Agreement shall commence on the Effective Date and shall continue for a period of {{retainer_period_length}} (the "Retainer Period"), unless terminated earlier in accordance with the provisions of this Agreement.

Upon expiration of the Retainer Period, this Agreement may be renewed by mutual written agreement of both parties.

4. CLIENT COOPERATION

The Client agrees to provide timely and accurate information, materials, and approvals as reasonably required by the Service Provider to perform the Services.

The Client acknowledges that any delays caused by the Client's failure to provide necessary information or approvals may impact the Service Provider's ability to deliver the Services within the agreed timelines.

5. CONFIDENTIALITY

Both parties agree to keep confidential all non-public information, including but not limited to business plans, financial information, customer data, and technical data, disclosed by one party to the other during the term of this Agreement.

This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_length}}.

6. INDEPENDENT CONTRACTOR

The Service Provider shall perform the Services as an independent contractor and not as an employee, agent, or partner of the Client.

The Service Provider shall be solely responsible for all taxes, insurance, and other obligations associated with its business operations.

7. TERMINATION

Either party may terminate this Agreement upon {{notice_period_days}} days' written notice to the other party.

In the event of termination, the Client shall pay the Service Provider for all Services rendered and expenses incurred up to the date of termination.

The Retainer Fee is non-refundable, regardless of the termination of this Agreement.

8. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}.

9. ENTIRE AGREEMENT
