SALE AGREEMENT FOR INTERNATIONAL GOODS

This Sale Agreement for International Goods (hereinafter referred to as the “Agreement”) is made and entered into on this {{date_of_agreement}} day of {{month}}, {{year}},

BETWEEN:

AND

The Seller and the Buyer are hereinafter collectively referred to as “the Parties” and individually as “Party.”

1. GOODS

1.1 The Seller agrees to sell and the Buyer agrees to purchase the following goods (hereinafter referred to as “the Goods”):

1.2 Packaging: The Goods shall be packed in a manner suitable for international transit, ensuring protection against damage during transportation. Specific packaging requirements: {{packaging_requirements}}.

2. PRICE AND PAYMENT

2.1 The total purchase price for the Goods is {{total_price}} {{currency}}.

2.2 Payment Terms: Payment shall be made as follows:

- Advance Payment: {{advance_payment_percentage}}% of the total price, amounting to {{advance_payment_amount}} {{currency}}, shall be paid by the Buyer to the Seller upon signing of this Agreement.

3. DELIVERY TERMS

4. TITLE AND RISK OF LOSS

4.2 Risk of loss or damage to the Goods shall pass from the Seller to the Buyer in accordance with the agreed Incoterms® rule specified in Clause 3.1.

5. INSPECTION AND ACCEPTANCE

5.1 The Buyer shall have the right to inspect the Goods upon arrival at the port of destination or place of delivery. Any claims for defects, shortages, or non-conformity must be made in writing to the Seller within {{number_of_days_for_inspection}} days of receipt of the Goods.

5.2 Failure to make such claims within the specified period shall constitute acceptance of the Goods by the Buyer.

6. WARRANTIES

6.2 The Seller’s liability under this warranty is limited to the repair or replacement of defective Goods, at the Seller’s sole discretion.

7. FORCE MAJEURE

7.1 Neither Party shall be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure is due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fires, floods, earthquakes, or strikes.

7.2 The Party affected by a Force Majeure event shall promptly notify the other Party of the nature and expected duration of the event.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1 This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

8.2 Any dispute, controversy, or claim arising out of or in connection with this Agreement, including its existence, validity, or termination, shall be referred to and finally resolved by arbitration in accordance with the rules of the {{arbitration_institution}} in {{arbitration_city}}, {{arbitration_country}}.

8.3 The language of the arbitration shall be English.

9. ENTIRE AGREEMENT
