SALES ADDENDUM

This Sales Addendum (the "Addendum") is made and entered into on this {{day}} day of {{month}}, {{year}},

BETWEEN:

{{seller_company_name}}, a company duly incorporated under the laws of {{seller_jurisdiction}}, with its principal place of business at {{seller_address}} (hereinafter referred to as "the Seller");

AND

{{buyer_company_name}}, a company duly incorporated under the laws of {{buyer_jurisdiction}}, with its principal place of business at {{buyer_address}} (hereinafter referred to as "the Buyer").

WHEREAS, the Seller and the Buyer previously entered into a Sales Agreement dated {{original_agreement_date}} (the "Original Agreement") for the sale and purchase of {{goods_or_services_description}}.

WHEREAS, the parties desire to amend and supplement certain terms and conditions of the Original Agreement as set forth herein.

1. AMENDMENTS TO THE ORIGINAL AGREEMENT

The parties hereby agree to amend the Original Agreement as follows:

2. ADDITIONAL TERMS AND CONDITIONS

The parties hereby agree to the following additional terms and conditions, which shall form an integral part of the Original Agreement:

2.1. **Price Adjustment:** The original purchase price of {{original_price}} shall be adjusted to {{new_price}}, effective from {{effective_date_of_price_adjustment}}.

2.2. **Delivery Schedule:** The new delivery schedule for the goods/services shall be as follows: {{revised_delivery_schedule}}.

3. EFFECT OF ADDENDUM

Except as expressly amended and supplemented by this Addendum, all other terms and conditions of the Original Agreement shall remain in full force and effect.

In the event of any conflict or inconsistency between the terms of this Addendum and the Original Agreement, the terms of this Addendum shall prevail.

4. GOVERNING LAW AND JURISDICTION

This Addendum and the Original Agreement shall be governed by and construed in accordance with the laws of {{country_of_governing_law}}.

Any dispute arising out of or in connection with this Addendum shall be subject to the exclusive jurisdiction of the courts of {{country_of_jurisdiction}}.

5. ENTIRE AGREEMENT

This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
