SALES AGREEMENT

This Sales Agreement (hereinafter referred to as the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1. AGREEMENT TO SELL AND PURCHASE

The Seller agrees to sell and the Buyer agrees to purchase the goods described in Clause 2 (hereinafter referred to as the 'Goods') in accordance with the terms and conditions set forth in this Agreement.

2. DESCRIPTION OF GOODS

The Goods to be sold under this Agreement are as follows:

3. PURCHASE PRICE AND PAYMENT TERMS

3.2. 4. DELIVERY

5. WARRANTIES

6.1. In no event shall the Seller be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement, even if the Seller has been advised of the possibility of such damages.

6.2. The Seller\'s total liability under this Agreement shall not exceed the total purchase price paid by the Buyer for the Goods.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.
