1. Parties to the Agreement
This Service Level Agreement ("Agreement") is entered into on this {{date_of_agreement}} day of {{month}}, {{year}}, by and between:
{{client_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as "Client"), and
{{service_provider_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation}}, with its principal place of business at {{service_provider_company_address}} (hereinafter referred to as "Service Provider").
The Client and the Service Provider are hereinafter collectively referred to as "Parties" and individually as "Party."
2. Purpose of Agreement
The purpose of this Agreement is to define the terms and conditions under which the Service Provider will deliver services to the Client, outlining the specific services to be provided, the performance standards, responsibilities of each Party, and the remedies for any failure to meet the agreed-upon service levels.
3. Scope of Services
The Service Provider will provide the following services (hereinafter referred to as "Services"): {{description_of_services}}.
A detailed description of the Services, including any deliverables, is annexed hereto as Schedule A. The Parties acknowledge that any changes to the scope of services must be agreed upon in writing by both Parties.
4. Service Levels and Performance Standards
The Service Provider commits to delivering the Services in accordance with the following service levels and performance standards:
4.1. **Availability:** The Services will be available {{percentage_availability}}% of the time, {{hours_of_availability}} hours a day, {{days_of_availability}} days a week, excluding scheduled maintenance periods. Scheduled maintenance will be communicated to the Client at least {{days_notice}} days in advance.
4.2. **Response Time:** The Service Provider will respond to service requests within {{response_time}}.
4.3. **Resolution Time:** The Service Provider will resolve critical issues within {{resolution_time}}.

5. Responsibilities of the Parties
5.1. **Service Provider Responsibilities:**
- Provide the Services as described in Section 3 and Schedule A.
- Meet the service levels and performance standards outlined in Section 4.
- Maintain appropriate technical and organizational measures to protect Client data.
- Provide regular reports on service performance as agreed upon (e.g., {{reporting_frequency_service_provider}}).
5.2. **Client Responsibilities:**
- Provide accurate and timely information and resources necessary for the Service Provider to perform the Services.
- Ensure trained personnel are available to interface with the Service Provider.
- Promptly notify the Service Provider of any service issues or non-compliance.
- Make timely payments for the Services as per the invoicing schedule in Section 6.
6. Fees and Payment
The Client agrees to pay the Service Provider the amount of {{currency}} {{amount}} ({{amount_in_words}}) for the Services, payable as follows: {{payment_schedule}}.
Invoices will be submitted on a {{invoicing_frequency}} basis and are due within {{payment_terms}} days of receipt.
7. Remedies for Non-Compliance
In the event that the Service Provider fails to meet the agreed-upon service levels, the following remedies shall apply:
7.1. **Service Credits:** For every {{period_of_non_compliance}} period during which a service level is not met, the Client shall be entitled to a service credit of {{service_credit_percentage}}% of the monthly service fee, up to a maximum of {{maximum_service_credit_percentage}}% of the monthly service fee.
7.2. **Escalation:** Persistent failure to meet service levels may result in escalation to senior management of both Parties for resolution.
7.3. **Termination:** If the Service Provider consistently fails to meet critical service levels for a period exceeding {{days_for_termination}} days, the Client may have the right to terminate this Agreement in accordance with Section 8.
8. Term and Termination
8.1. **Term:** This Agreement shall commence on {{start_date}} and shall continue for a period of {{agreement_duration}} unless terminated earlier in accordance with the provisions herein.
8.2. **Termination for Convenience:** Either Party may terminate this Agreement for convenience by providing {{notice_period_for_convenience}} days' written notice to the other Party.
8.3. **Termination for Cause:** Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period}} days of receiving written notice thereof.
9. Confidentiality
Both Parties agree to keep confidential all non-public information obtained during the course of this Agreement. This obligation of confidentiality shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.
10. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{applicable_country}}.
Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If the Parties are unable to reach an amicable settlement, the dispute shall be submitted to mediation in {{mediation_city}}, {{mediation_country}}, or failing mediation, to arbitration in accordance with the rules of the {{arbitration_institution}}.
