Source Code License Agreement (Short Form)

This Source Code License Agreement (the 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} (the 'Effective Date'), by and between:

{{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_jurisdiction}}, with its principal place of business at {{licensor_address}} (hereinafter referred to as the 'Licensor'); and

{{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_jurisdiction}}, with its principal place of business at {{licensee_address}} (hereinafter referred to as the 'Licensee').

Collectively referred to as the 'Parties' and individually as a 'Party'.

1. Grant of License

1.1. Subject to the terms and conditions of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, non-transferable, revocable license to use the source code described in Schedule A (the 'Source Code') for the sole purpose of {{licensed_purpose}}.

1.2. This license specifically permits the Licensee to {{allowed_actions}}, but does not permit {{restricted_actions}}.

2. Ownership

2.1. The Licensee acknowledges that all right, title, and interest in and to the Source Code, including all intellectual property rights therein, remain solely with the Licensor.

2.2. Nothing in this Agreement shall be construed to transfer any ownership rights in the Source Code to the Licensee.

3. Confidentiality

3.1. The Licensee agrees to maintain the Source Code in strict confidence and not to disclose it to any third party without the prior written consent of the Licensor.

3.2. The Licensee shall take all reasonable measures to protect the confidentiality of the Source Code, at least to the same extent it protects its own confidential information.

4. Term and Termination

4.1. This Agreement shall commence on the Effective Date and shall continue until terminated by either Party in accordance with the provisions herein.

4.2. Either Party may terminate this Agreement by giving {{notice_period}} written notice to the other Party.

4.3. Upon termination of this Agreement, the Licensee shall immediately cease all use of the Source Code and return or destroy all copies of the Source Code in its possession, as directed by the Licensor.

5. Warranties and Disclaimers

5.1. The Licensor provides the Source Code 'as is' without warranty of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

5.2. The Licensor does not warrant that the Source Code will be error-free or that its use will be uninterrupted.

6. Limitation of Liability

6.1. In no event shall the Licensor be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this Source Code, even if advised of the possibility of such damage.

7. Governing Law and Dispute Resolution

7.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.

7.2. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in {{arbitration_city}}, in accordance with the arbitration rules of {{arbitration_institution}}.

8. Entire Agreement

8.1. This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
