STATUTORY DECLARATION ON AMALGAMATION

I, {{declarant_full_name}}, of {{declarant_address}}, in my capacity as {{declarant_position}} of {{company_name_1}} (hereinafter referred to as 'the First Amalgamating Company') and {{company_name_2}} (hereinafter referred to as 'the Second Amalgamating Company'), do hereby solemnly and sincerely declare that:

Purpose of Amalgamation

1. The amalgamation of the First Amalgamating Company and the Second Amalgamating Company is being undertaken for the purpose of {{purpose_of_amalgamation}}.

Compliance with Legal Requirements

2. All statutory provisions and requirements relating to the amalgamation as stipulated under the relevant company laws of {{jurisdiction}} have been duly complied with.

3. The scheme of amalgamation has been approved by the respective boards of directors and shareholders of both the First Amalgamating Company and the Second Amalgamating Company in accordance with their memorandum and articles of association and the applicable company law.

Assets and Liabilities

5. A comprehensive list of assets and liabilities, including their respective values, is attached hereto as Annexure 'A'.

Creditors and Stakeholders

6. All creditors and other stakeholders of both the First Amalgamating Company and the Second Amalgamating Company have been duly notified of the proposed amalgamation in compliance with legal requirements, and their interests have been adequately addressed.

7. No proceedings are pending against either of the amalgamating companies that would prejudice the amalgamation or the interests of any party.

Undertaking

8. I undertake to provide any further information or documentation as may be required by any regulatory authority or court in relation to this amalgamation.

And I make this solemn declaration conscientiously believing the same to be true and correct, and knowing that it is of the same force and effect as if made under oath.
