TOLL MANUFACTURING AGREEMENT

This Toll Manufacturing Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}} (the "Effective Date"), by and between:

1. **{{customer_company_name}}**, a company duly incorporated under the laws of {{customer_country}}, with its principal place of business at {{customer_address}} (hereinafter referred to as "Customer").

AND

2. **{{toll_manufacturer_company_name}}**, a company duly incorporated under the laws of {{toll_manufacturer_country}}, with its principal place of business at {{toll_manufacturer_address}} (hereinafter referred to as "Toll Manufacturer").

(Customer and Toll Manufacturer collectively referred to as "Parties" and individually as "Party").

RECITALS

WHEREAS, Customer desires to engage Toll Manufacturer to process certain raw materials into finished goods in accordance with the specifications provided by Customer; and

WHEREAS, Toll Manufacturer is engaged in the business of manufacturing and processing goods and has the necessary facilities, equipment, and expertise to perform such services for Customer;

1. SCOPE OF SERVICES

1.1. Toll Manufacturer agrees to provide toll manufacturing services to Customer for the products specified in Schedule A (the "Products"), attached hereto and incorporated herein by reference.

1.2. The services shall include, but not be limited to, the processing, assembly, packaging, and quality control of the Customer's raw materials into finished Products, all in strict compliance with the specifications, formulae, and instructions provided by the Customer.

1.3. Toll Manufacturer shall perform the services using its own facilities, equipment, and personnel, exercising due care and skill consistent with industry standards.

2. RAW MATERIALS AND SPECIFICATIONS

2.1. Customer shall supply all necessary raw materials, components, and packaging materials (the "Materials") to Toll Manufacturer in a timely manner and in quantities sufficient to meet the agreed production schedule.

2.2. Customer shall provide Toll Manufacturer with detailed specifications, quality standards, and manufacturing instructions for each Product (the "Specifications"). Toll Manufacturer shall manufacture the Products strictly in accordance with these Specifications.

2.3. Toll Manufacturer shall be responsible for the proper storage and handling of the Materials supplied by Customer while in its possession and shall promptly notify Customer of any defects, damage, or discrepancies in the Materials.

3. PRODUCTION SCHEDULE AND DELIVERY

3.1. The Parties shall agree upon a production schedule for the Products, which shall be detailed in Schedule B, attached hereto and incorporated herein by reference.

3.2. Toll Manufacturer shall use its best efforts to meet the agreed production schedule and deliver the finished Products to Customer or its designated recipient by the agreed delivery dates.

3.3. Delivery shall be DDP (Delivered Duty Paid) to {{delivery_address}} unless otherwise agreed in writing by the Parties.

4. QUALITY CONTROL AND INSPECTION

4.1. Toll Manufacturer shall implement and maintain a quality control system to ensure that all Products manufactured conform to the Specifications.

4.2. Customer shall have the right, upon reasonable prior notice, to inspect Toll Manufacturer's facilities, production processes, and quality control records related to the manufacture of the Products.

4.3. If any Products are found to be non-conforming, Toll Manufacturer shall, at its own expense, promptly rework or replace such Products to conform to the Specifications.

5. FEES AND PAYMENT

5.1. Customer shall pay Toll Manufacturer a toll manufacturing fee as specified in Schedule C (the "Fees"), attached hereto and incorporated herein by reference.

5.2. Invoices shall be submitted by Toll Manufacturer on a {{payment_frequency}} basis and shall be paid by Customer within {{payment_due_days}} days of the invoice date.

5.3. All payments shall be made in {{currency}} to the bank account designated by Toll Manufacturer.

5.4. Late payments may incur interest at a rate of {{interest_rate_percentage}}% per annum.

6. CONFIDENTIALITY

6.1. Both Parties acknowledge that they may have access to confidential and proprietary information of the other Party during the term of this Agreement, including but not limited to, specifications, formulae, manufacturing processes, customer lists, and business plans (the "Confidential Information").

6.2. Each Party agrees to keep all Confidential Information strictly confidential and not to disclose it to any third party or use it for any purpose other than as necessary to perform its obligations under this Agreement.

7. INTELLECTUAL PROPERTY

7.1. All intellectual property rights, including but not limited to, patents, trademarks, copyrights, and trade secrets in the Products and the Specifications, shall remain the sole property of Customer.

7.2. Toll Manufacturer acknowledges that it acquires no rights, title, or interest in Customer's intellectual property by virtue of this Agreement.

8. INDEMNIFICATION

8.1. Toll Manufacturer shall indemnify and hold harmless Customer from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any breach by Toll Manufacturer of its obligations under this Agreement, or any gross negligence or willful misconduct of Toll Manufacturer.

9. TERM AND TERMINATION

9.1. This Agreement shall commence on the Effective Date and shall remain in full force and effect for a period of {{agreement_term_years}} years, unless terminated earlier in accordance with the provisions of this Agreement.

9.2. Either Party may terminate this Agreement immediately upon written notice to the other Party if the other Party commits a material breach of this Agreement and fails to cure such breach within {{cure_period_days}} days after receiving written notice thereof.

10. GOVERNING LAW AND DISPUTE RESOLUTION

10.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_country_law}}.

10.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.

10.3. The seat of the arbitration shall be {{arbitration_city}}, {{arbitration_country}}.

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

12. SIGNATURES

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date.
