TRADE AGREEMENT
This Trade Agreement (hereinafter referred to as 'Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:
{{party_a_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation_a}}, with its principal place of business at {{party_a_address}} (hereinafter referred to as 'Party A'); and
{{party_b_company_name}}, a company duly incorporated under the laws of {{country_of_incorporation_b}}, with its principal place of business at {{party_b_address}} (hereinafter referred to as 'Party B').
Party A and Party B are hereinafter collectively referred to as 'Parties' and individually as 'Party'.
RECITALS
WHEREAS, Party A is engaged in the business of {{party_a_business_description}};
WHEREAS, Party B is engaged in the business of {{party_b_business_description}};
WHEREAS, Party A desires to {{action_of_party_a}} and Party B desires to {{action_of_party_b}}, under the terms and conditions hereinafter set forth.
SCOPE OF AGREEMENT
This Agreement governs the terms and conditions under which Party A shall {{provide_or_purchase_goods_services}} to/from Party B. The specific goods or services, quantities, prices, and delivery schedules shall be detailed in separate Purchase Orders or Statements of Work, which shall be incorporated into this Agreement by reference.
TERMS OF TRADE
**1. Pricing:** All prices for goods or services shall be quoted in {{currency}} and are subject to change upon {{notice_period}} days' written notice to the other Party. Price lists, if applicable, shall be attached as Schedule A.
**2. Payment Terms:** Payment for goods or services shall be made within {{payment_days}} days of the invoice date. Invoices shall be submitted by {{invoice_submission_date}} of each month for services rendered or goods delivered in the preceding month. Late payments shall be subject to an interest rate of {{interest_rate}}% per annum.
**3. Delivery/Performance:** Delivery of goods shall be made to {{delivery_address}} by {{delivery_method}}. Services shall be performed at {{service_location}} according to the agreed-upon schedule. Risk of loss or damage to goods shall pass to Party B upon delivery.
**4. Quality Assurance:** All goods provided by Party A shall meet the specifications outlined in Schedule B and be free from defects. Services performed by Party A shall be executed with professional diligence and skill.
**5. Order Placement:** All orders for goods or services shall be placed through written purchase orders or similar documentation, clearly stating the quantity, description, price, and required delivery/performance date.
INTELLECTUAL PROPERTY
Each Party shall retain all rights, title, and interest in and to its own intellectual property existing prior to the effective date of this Agreement. Any intellectual property developed jointly during the course of this Agreement shall be subject to a separate written agreement outlining ownership and usage rights.
CONFIDENTIALITY
Both Parties agree to keep confidential all non-public information obtained during the course of this Agreement, including but not limited to business plans, client lists, pricing strategies, and technical data. This obligation of confidentiality shall remain in effect for a period of {{confidentiality_period}} years after the termination of this Agreement.
TERM AND TERMINATION
This Agreement shall commence on the Effective Date and shall continue for a period of {{term_duration}} unless terminated earlier in accordance with the provisions herein. Either Party may terminate this Agreement by providing {{notice_period_termination}} days' written notice to the other Party in the event of a material breach of any terms or conditions of this Agreement, which breach remains uncured after {{cure_period}} days of written notice.
GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}. Any disputes arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the Parties. If a resolution cannot be reached, the dispute shall be submitted to mediation in {{mediation_city}}, {{mediation_country}}. If mediation fails, the dispute shall be finally settled by arbitration in accordance with the rules of the {{arbitration_institution}} in {{arbitration_city}}, {{arbitration_country}}.
FORCE MAJEURE
Neither Party shall be liable for any delay or failure in performance of its obligations under this Agreement if such delay or failure is caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, epidemics, or governmental regulations. The Party affected by Force Majeure shall promptly notify the other Party of the event and its expected duration.
ENTIRE AGREEMENT
This Agreement, together with any attached schedules or addendums, constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof.
