TRADEMARK ASSIGNMENT SHORT FORM

This TRADEMARK ASSIGNMENT SHORT FORM (the "Assignment") is made and entered into effective as of this {{day}} day of {{month}}, {{year}} (the "Effective Date"), by and between:

ASSIGNOR:

ASSIGNEE:

BACKGROUND

WHEREAS, Assignor is the sole and exclusive owner of the trademark(s) listed in Schedule A attached hereto (the "Trademark(s)"); and

WHEREAS, Assignor desires to assign all of its right, title, and interest in and to the Trademark(s) to Assignee, and Assignee desires to acquire all such right, title, and interest from Assignor.

ASSIGNMENT

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor does hereby irrevocably assign, transfer, and set over unto Assignee, its successors, and assigns, all of Assignor's right, title, and interest in and to the Trademark(s), together with the goodwill of the business symbolized by the Trademark(s), and the registrations and applications for registration thereof, if any, throughout the world.

FURTHER ASSURANCES

Assignor agrees to execute and deliver any and all further instruments and to do all acts and things that Assignee may reasonably deem necessary or desirable to vest in Assignee all right, title, and interest in and to the Trademark(s), and to enable Assignee to secure, defend, and enforce the Trademark(s) in any country.

GOVERNING LAW

This Assignment shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}, without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Assignment constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
