Trademark License Agreement

This Trademark License Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}} ('Effective Date'), By and Between:

{{licensor_company_name}}, a company duly incorporated under the laws of {{licensor_jurisdiction}}, with its principal place of business at {{licensor_company_address}} (hereinafter referred to as 'Licensor');

AND

{{licensee_company_name}}, a company duly incorporated under the laws of {{licensee_jurisdiction}}, with its principal place of business at {{licensee_company_address}} (hereinafter referred to as 'Licensee').

Collectively referred to as 'the Parties' and individually as 'Party'.

1. Definitions

1.1. 'Trademark' means the trademark(s) specified in Schedule A attached hereto, including all registrations, applications, and goodwill associated therewith.

1.2. 'Licensed Products/Services' means the products and/or services of Licensee on or in connection with which the Trademark may be used, as more fully described in Schedule B attached hereto.

1.3. 'Territory' means the geographical area specified in Schedule C, wherein the Licensee is authorized to use the Trademark.

2. Grant of License

2.1. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee, and Licensee hereby accepts, a {{exclusive_non_exclusive}} license to use the Trademark in connection with the marketing, advertising, sale, and distribution of the Licensed Products/Services within the Territory, solely for the term of this Agreement.

2.2. The Licensee shall not sublicense, assign, or otherwise transfer any of its rights or obligations under this Agreement without the prior written consent of the Licensor.

3. Royalty Payments

3.1. In consideration for the license granted herein, Licensee shall pay to Licensor a royalty equal to {{royalty_percentage}}% of the net sales of the Licensed Products/Services. 'Net Sales' shall mean gross sales less returns, allowances, and discounts.

3.2. Royalties shall be paid {{payment_frequency}} (e.g., quarterly) within {{days_after_period}} days after the end of each {{payment_period}}. Each payment shall be accompanied by a detailed statement of sales.

3.3. All payments shall be made in {{currency}} to the bank account designated by the Licensor.

4. Quality Control

4.1. Licensee acknowledges the high reputation and goodwill associated with the Trademark and agrees to use the Trademark only in connection with Licensed Products/Services that are of a quality conforming to the standards set by the Licensor.

4.2. Licensor shall have the right, but not the obligation, to inspect samples of the Licensed Products/Services and associated promotional materials at reasonable intervals to ensure compliance with quality standards. Licensee shall provide such samples to Licensor upon request.

5. Term and Termination

5.1. This Agreement shall commence on the Effective Date and shall continue for a period of {{term_years}} ({{term_years_number}}) years, unless terminated earlier in accordance with the provisions hereof.

5.2. Either Party may terminate this Agreement upon {{notice_days}} days' prior written notice to the other Party in the event of a material breach of any provision of this Agreement by the other Party, provided such breach is not cured within the notice period.

5.3. Upon termination of this Agreement, Licensee shall immediately cease all use of the Trademark and shall remove all references to the Trademark from its products, services, and promotional materials.

6. Governing Law and Dispute Resolution

6.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

6.2. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.
