TRANSPORT AGREEMENT
This Transport Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}
BETWEEN:
{{transporter_company_name}}, a company duly incorporated under the laws of [African Country, e.g., South Africa], with its registered office at {{transporter_address}} (hereinafter referred to as "the Transporter").
AND:
{{client_company_name}}, a company duly incorporated under the laws of [African Country, e.g., Kenya], with its registered office at {{client_address}} (hereinafter referred to as "the Client").
The Transporter and the Client are hereinafter collectively referred to as "the Parties" and individually as "Party."
1. SCOPE OF SERVICES
1.1 The Transporter agrees to provide transportation services for goods as described in Schedule A, from {{origin_address}} to {{destination_address}} (hereinafter referred to as "the Services").
1.2 The goods to be transported (

) are further detailed in the Bill of Lading or Consignment Note attached as Schedule B.
2. DURATION
2.1 This Agreement shall commence on {{start_date}} and shall continue until {{end_date}} unless terminated earlier in accordance with the provisions of this Agreement.
3. FEES AND PAYMENT
3.1 The Client shall pay the Transporter a fee of {{currency_symbol}}{{amount}} ({{amount_in_words}}) for the Services, as detailed in Schedule C.
3.2 Payment shall be made by {{payment_method}} within {{days}} days of the invoice date.
3.3 All fees are exclusive of applicable taxes, which shall be borne by the Client.
4. RESPONSIBILITIES OF THE TRANSPORTER
4.1 The Transporter shall transport the Goods safely and efficiently, exercising reasonable care and skill.
4.2 The Transporter shall adhere to all relevant transportation laws and regulations in [African Country, e.g., Nigeria].
4.3 The Transporter shall ensure that all vehicles used are roadworthy and appropriately insured.
5. RESPONSIBILITIES OF THE CLIENT
5.1 The Client shall ensure that the Goods are properly packaged, labelled, and ready for collection.
5.1 The Client shall provide accurate and complete information regarding the Goods and delivery instructions.
5.3 The Client shall obtain all necessary permits and licenses for the transportation of the Goods, where applicable.
6. INSURANCE AND LIABILITY
6.1 The Transporter shall maintain adequate Goods-in-transit insurance. Details of such insurance are provided in Schedule D.
6.2 The Transporter's liability for loss or damage to the Goods shall be limited to the value declared by the Client or as stipulated in the insurance policy, whichever is lower.
6.3 The Transporter shall not be liable for any indirect or consequential loss arising from delays or damage to the Goods.
7. FORCE MAJEURE
7.1 Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, fire, strikes, or epidemics.
8. GOVERNING LAW AND DISPUTE RESOLUTION
8.1 This Agreement shall be governed by and construed in accordance with the laws of [African Country, e.g., Ghana].
8.2 Any dispute arising out of or in connection with this Agreement shall be referred to arbitration in [African Country, e.g., Ghana] in accordance with the rules of the [relevant arbitration body, e.g., Arbitration Foundation of Southern Africa (AFSA)].
9. TERMINATION
9.1 Either Party may terminate this Agreement by giving {{notice_days}} days' written notice to the other Party if the other Party commits a material breach of this Agreement and fails to remedy such breach within {{cure_period_days}} days of receiving written notice to do so.
