VIDEO CLIP LICENSE AGREEMENT

This Video Clip License Agreement (the 'Agreement') is made and entered into as of {{date}} (the 'Effective Date'), by and between:

Collectively, Licensor and Licensee may be referred to as the 'Parties' and individually as a 'Party'.

RECITALS

WHEREAS, Licensor is the sole owner of certain video footage as described in Schedule A attached hereto (the 'Video Clip'); and

WHEREAS, Licensee desires to obtain a license to use the Video Clip for specific purposes; and

WHEREAS, Licensor is willing to grant such a license to Licensee upon the terms and conditions hereinafter set forth.

GRANT OF LICENSE

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a non-exclusive, non-transferable, revocable license to use the Video Clip in the following manner:

a. **Permitted Use:** The Video Clip may be used for {{permitted_use_description}}.

b. **Territory:** The usage of the Video Clip is permitted within the territory of {{territory}}.

c. **Term:** This license shall commence on the Effective Date and shall continue for a period of {{license_term_duration}} (e.g., one year, five years, in perpetuity), unless terminated earlier in accordance with this Agreement.

LICENSE FEES

b. The Video Clip does not infringe upon any copyright, trademark, privacy right, publicity right, or any other proprietary right of any third party.

c. Licensor has obtained all necessary releases, consents, and permissions from any persons appearing in the Video Clip, and from the owners of any depicted properties, if applicable.

INDEMNIFICATION

Licensor shall indemnify, defend, and hold harmless Licensee from and against any and all claims, demands, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to any breach of Licensor's representations and warranties contained in this Agreement.

Licensee shall indemnify, defend, and hold harmless Licensor from and against any and all claims, demands, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Licensee's use of the Video Clip outside the scope of the license granted herein.

TERMINATION

This Agreement may be terminated under the following circumstances:

a. **By Mutual Agreement:** By mutual written agreement of both Parties.

b. **By Licensor:** If Licensee breaches any material term of this Agreement and fails to cure such breach within {{cure_period}} days after receiving written notice thereof from Licensor.

c. **By Licensee:** If Licensor breaches any material term of this Agreement and fails to cure such breach within {{cure_period}} days after receiving written notice thereof from Licensee.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

MISCELLANEOUS

a. **Entire Agreement:** This Agreement constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and representations, whether written or oral.

b. **Amendments:** No modification or amendment of this Agreement shall be effective unless in writing and signed by both Parties.

c. **Notices:** All notices required or permitted under this Agreement shall be in writing and shall be deemed effectively given upon personal delivery, by certified mail, or by reputable overnight courier service to the addresses first set forth above.

d. **Severability:** If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

e. **Counterparts:** This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
