LICENSE AGREEMENT

This Video License Agreement ('Agreement') is made and entered into as of this {{day}} day of {{month}}, {{year}}, by and between:

RECITALS

WHEREAS, Licensor is the sole owner of the video content described in Schedule A attached hereto ('Video Content'); and

WHEREAS, Licensee desires to obtain a license to use the Video Content for the purposes and under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows:

GRANT OF LICENSE

1.1. Licensor hereby grants to Licensee a {{exclusive_non_exclusive}}

TERRITORY

FEES AND PAYMENT

OWNERSHIP AND INTELLECTUAL PROPERTY

4.1. Licensor retains all right, title, and interest in and to the Video Content, including all intellectual property rights embedded therein.

4.2. Nothing in this Agreement shall be construed as a transfer of ownership of the Video Content to Licensee.

4.3. Licensee acknowledges that any use of the Video Content outside the scope of this Agreement is strictly prohibited.

WARRANTIES AND REPRESENTATIONS

5.1. Licensor warrants that it has the full right and authority to enter into this Agreement and to grant the rights herein granted.

5.2. Licensor warrants that the Video Content does not infringe upon the intellectual property rights of any third party.

INDEMNIFICATION

6.1. Licensee agrees to indemnify, defend, and hold harmless Licensor from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with Licensee's use of the Video Content beyond the scope of this Agreement.

TERMINATION

7.1. This Agreement may be terminated by either party upon {{notice_period}} (e.g., 30 days) written notice if the other party breaches any material term of this Agreement and fails to cure such breach within the notice period.

7.2. Upon termination, Licensee shall immediately cease all use of the Video Content and, if requested by Licensor, delete all copies from its systems.

GOVERNING LAW AND DISPUTE RESOLUTION

8.1. This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}.

8.2. Any dispute arising out of or in connection with this Agreement shall be submitted to mediation in accordance with the rules of {{mediation_body}}.
