1. Parties

This Website Design Agreement ("Agreement") is entered into on this {{day}} day of {{month}}, {{year}}, by and between:

1.1. **Client:** {{client_company_name}}, a company duly registered under the laws of {{client_jurisdiction}}, with its principal place of business at {{client_address}} (hereinafter referred to as "the Client").

1.2. **Designer:** {{designer_company_name}}, a company duly registered under the laws of {{designer_jurisdiction}}, with its principal place of business at {{designer_address}} (hereinafter referred to as "the Designer").

2. Scope of Work

2.1. The Designer agrees to design, develop, and deliver a website (hereinafter referred to as "the Website") for the Client in accordance with the specifications outlined in Appendix A (attached hereto and forming part of this Agreement).

2.2. The Website shall incorporate the following key features and functionalities:

2.3. Any additional work or changes to the scope of work not specified in Appendix A will be subject to a separate written agreement and may incur additional charges.

3. Deliverables

3.1. The Designer shall deliver the following to the Client:

- First draft of the website by {{first_draft_delivery_date}}.

- Final, fully functional website by {{final_delivery_date}}.

4. Payment Terms

4.1. The total fee for the services rendered under this Agreement shall be {{total_fee_amount}} ({{total_fee_currency}}).

4.2. Payment shall be made as follows:

- An upfront deposit of {{deposit_amount}} ({{deposit_currency}}) upon signing of this Agreement.

5. Client Responsibilities

5.2. The Client shall provide prompt feedback and approvals at various stages of the design and development process.

5.3. The Client agrees to designate a primary contact person, {{client_contact_person}}, who will be responsible for communication and approvals.

6. Intellectual Property

6.1. Upon full and final payment of all fees due under this Agreement, the Client shall be the sole owner of all intellectual property rights in the final Website, including but not limited to, copyright.

6.2. The Designer retains the right to display the completed Website in their portfolio for promotional purposes, unless otherwise agreed in writing.

7. Confidentiality

7.1. Both parties agree to keep confidential all proprietary and sensitive information disclosed during the course of this Agreement.

8. Termination

8.1. Either party may terminate this Agreement by giving {{notice_period_days}} days written notice to the other party if there is a material breach of this Agreement.

8.2. In the event of termination, the Client shall pay the Designer for all work completed up to the date of termination, on a pro-rata basis.

9. Governing Law

9.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

10. Dispute Resolution

10.1. Any dispute arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the parties.

10.2. If the dispute cannot be resolved through negotiation, the parties agree to pursue mediation with a mutually agreed upon mediator in {{mediation_location}}.
