Website Design Consultation Agreement

This Website Design Consultation Agreement ('Agreement') is made and entered into on this {{date}} by and between:

Client: {{client_company_name}}, located at {{client_company_address}} (hereinafter referred to as 'Client')

Consultant: {{consultant_company_name}}, located at {{consultant_company_address}} (hereinafter referred to as 'Consultant').

1. Scope of Consultation Services

The Consultant agrees to provide the following website design consultation services to the Client:

- Initial assessment of current website or business needs.

- Discussion of design preferences, functionalities, and target audience.

- Provision of up to {{number_of_concepts}} preliminary design concepts or wireframes.

- Presentation of a proposed technology stack and platform recommendations.

- Development of a preliminary project timeline and estimated budget for the full website development project.

- Up to {{number_of_revision_rounds}} rounds of revisions on preliminary concepts.

2. Consultation Fee and Payment

The Client agrees to pay the Consultant a fixed consultation fee of {{currency}}{{consultation_fee}} for the services outlined in Section 1.

A non-refundable deposit of {{currency}}{{deposit_amount}} is due upon the signing of this Agreement.

3. Client Responsibilities

The Client agrees to provide all necessary information, content (text, images, logos), and feedback in a timely manner to facilitate the consultation process.

Delays caused by the Client's failure to provide timely information or feedback may extend the consultation timeline.

4. Deliverables

Upon completion of the consultation services, the Consultant will provide the Client with the following deliverables:

- A proposed technology stack and platform overview.

- A preliminary project plan with estimated timelines and budget for the full website development.

5. Confidentiality

Both parties agree to treat all information exchanged during the consultation process as confidential and will not disclose it to any third party without prior written consent, except as required by law.

This confidentiality obligation shall survive the termination or expiration of this Agreement.

6. Intellectual Property

All intellectual property rights related to the preliminary design concepts, recommendations, and other deliverables created by the Consultant during this consultation shall remain with the Consultant until full payment of the consultation fee is received. Upon full payment, the Client will receive a non-exclusive license to use these deliverables for the purpose of further website development.

The Client warrants that any materials provided to the Consultant do not infringe on the intellectual property rights of any third party.

7. Limitation of Liability

The Consultant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, arising out of or in connection with this Agreement.

The total liability of the Consultant for any claim arising out of this Agreement shall not exceed the total consultation fee paid by the Client.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country_of_jurisdiction}}.

Any disputes arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the parties. If an amicable resolution cannot be reached, the parties agree to submit to the jurisdiction of the courts of {{city_of_jurisdiction}}.

9. Entire Agreement

This Agreement constitutes the entire agreement between the Client and the Consultant concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
