Parties
This Legal Service Agreement ("Agreement") is made effective as of {{date_of_agreement}}, between: **Service Provider:** {{law_firm_name}} {{law_firm_address}} (hereinafter referred to as "Attorney") And **Client:** {{client_company_name}} (or {{client_individual_name}}) {{client_address}} (hereinafter referred to as "Client")
The Attorney and Client may hereinafter be referred to individually as "Party" and collectively as "Parties."
Scope of Services
The Attorney agrees to provide the following legal services to the Client:

- Any other services as mutually agreed upon in writing (hereinafter referred to as "Services").
Term of Agreement
This Agreement shall commence on {{start_date}} and shall continue until {{end_date}} or until the completion of the Services, unless terminated earlier in accordance with the provisions of this Agreement.
Fees and Billing
**Retainer Fee:** The Client agrees to pay a non-refundable retainer fee of {{retainer_amount}} on or before {{retainer_payment_due_date}}.

**Disbursements and Expenses:** The Client shall be responsible for all reasonable and necessary disbursements and expenses incurred by the Attorney in providing the Services, including but not limited to filing fees, court costs, expert witness fees, travel expenses, and photocopying charges.
**Invoicing:** Invoices will be rendered {{billing_frequency}} (e.g., monthly) and are due and payable within {{payment_due_days}} days of the invoice date. Interest at a rate of {{interest_rate_percentage}}% per annum may be charged on overdue accounts.

Client Responsibilities
The Client agrees to:

- Cooperate fully with the Attorney in all matters relating to the Services.
- Pay all fees and expenses as outlined in this Agreement.
- Inform the Attorney of any changes in circumstances relevant to the Services.
Confidentiality
The Attorney agrees to keep all information provided by the Client confidential, subject to legal and ethical obligations.
The Client acknowledges that certain information may be discoverable in legal proceedings.
Termination
This Agreement may be terminated by either Party upon {{notice_period}} days' written notice to the other Party.
The Attorney may terminate this Agreement immediately for non-payment of fees, client non-cooperation, or any other professional or ethical grounds.
Upon termination, the Client shall pay for all Services rendered and expenses incurred up to the date of termination. Any unearned retainer fees will be refunded to the Client.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.
Dispute Resolution
