Independent Contractor Agreement

This Independent Contractor Agreement ('Agreement') is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly incorporated and existing under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as the 'Company');

AND

{{salesman_name}}, an individual residing at {{salesman_address}}, holding {{identification_type}} number {{identification_number}} (hereinafter referred to as the 'Independent Contractor').

Collectively referred to as the 'Parties'.

1. Engagement and Services

1.1 The Company hereby engages the Independent Contractor as an independent real estate salesman, and the Independent Contractor hereby accepts such engagement.

1.2 The Independent Contractor shall provide real estate sales services to the Company, including but not limited to, prospecting for clients, showing properties, negotiating sales, and assisting with the closing process, as per the Company's guidelines and standards.

1.3 The Independent Contractor shall use their best efforts to promote the interests of the Company and to achieve sales targets as may be mutually agreed upon from time to time.

2. Independent Contractor Status

2.1 The Parties acknowledge and agree that the Independent Contractor is an independent contractor and not an employee, partner, agent, or joint venture of the Company.

2.2 The Independent Contractor shall be solely responsible for determining the means and methods by which the services are performed, subject to compliance with the Company's policies and applicable laws.

2.3 The Independent Contractor shall not be entitled to any employee benefits, including but not limited to, health insurance, paid leave, or retirement plans, provided by the Company to its employees.

3. Compensation

3.1 For the services rendered, the Independent Contractor shall be compensated on a commission basis, calculated as {{commission_percentage}}% of the gross commission earned by the Company from successful real estate transactions originated or facilitated by the Independent Contractor.

3.2 Commissions shall be paid to the Independent Contractor within {{payment_days}} days of the Company's receipt of the commission relating to a closed transaction.

3.3 The Independent Contractor shall be responsible for all their own business expenses, including but not limited to, transportation, marketing, and professional licenses, unless otherwise agreed upon in writing by the Company.

4. Term and Termination

4.1 This Agreement shall commence on {{start_date}} and shall continue until terminated by either party in accordance with the provisions herein.

4.2 Either party may terminate this Agreement at any time by giving {{notice_period}} days' written notice to the other party.

4.3 Upon termination, the Independent Contractor shall be entitled to commissions for transactions closed prior to the effective date of termination, where the Independent Contractor was the procuring cause, subject to the terms of this Agreement.

5. Confidentiality

5.1 The Independent Contractor agrees to keep confidential all proprietary and confidential information of the Company, including but not limited to, client lists, marketing strategies, and financial data.

5.2 This confidentiality obligation shall survive the termination of this Agreement.

6. Governing Law and Dispute Resolution

6.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

6.2 Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If a resolution cannot be reached, the dispute shall be submitted to mediation in {{city}}, {{country}}.
