Retainer Consulting Agreement

This Retainer Consulting Agreement (the “Agreement”) is made and entered into as of {{date_of_agreement}}

BETWEEN:

{{client_company_name}}, a company duly incorporated under the laws of {{client_company_jurisdiction}}, with its principal place of business at {{client_company_address}} (hereinafter referred to as the “Client”).

AND

{{consultant_company_name}}, a company/individual duly organized/residing under the laws of {{consultant_jurisdiction}}, with its principal place of business/residence at {{consultant_address}} (hereinafter referred to as the “Consultant”).

The Client and the Consultant are hereinafter collectively referred to as the “Parties” and individually as a “Party.”

Recitals

WHEREAS, the Client desires to retain the services of the Consultant to provide expert advice and assistance in the field of {{field_of_consultancy}}.

WHEREAS, the Consultant possesses the necessary qualifications, experience, and expertise to provide such services to the Client.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:

Scope of Services

The Client hereby retains the Consultant, and the Consultant hereby agrees to be retained by the Client, to perform consulting services as described in Schedule A attached hereto (the “Services”).

The Services shall include, but not be limited to: {{specific_services_list}}.

The Consultant shall dedicate approximately {{estimated_hours_per_month}} hours per month to the performance of the Services.

Term of Agreement

This Agreement shall commence on {{start_date}} and shall continue for an initial period of {{initial_term_months}} months, unless terminated earlier in accordance with the provisions of this Agreement.

Thereafter, this Agreement shall automatically renew for successive periods of {{renewal_term_months}} months, unless either Party provides written notice of non-renewal at least {{notice_period_days}} days prior to the end of the then-current term.

Fees and Payment

In consideration for the Services, the Client shall pay the Consultant a monthly retainer fee of {{monthly_retainer_fee}} ({{currency}}) (the “Retainer Fee”).

The Retainer Fee shall be payable in advance on the first day of each month, commencing on {{first_payment_date}}.

In addition to the Retainer Fee, the Client shall reimburse the Consultant for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred by the Consultant in the performance of the Services, provided that such expenses are supported by appropriate receipts or invoices. Expenses exceeding {{expense_approval_threshold}} ({{currency}}) must be approved in writing by the Client in advance.

Payment terms are Net {{payment_net_days}} days from the date of invoice.

Confidentiality

The Consultant acknowledges that during the course of performing the Services, they may have access to confidential and proprietary information belonging to the Client, including but not limited to business plans, financial information, customer lists, and trade secrets (collectively, “Confidential Information”).

The Consultant agrees to keep all Confidential Information strictly confidential and not to disclose such information to any third party without the prior written consent of the Client, nor to use such information for any purpose other than the performance of the Services.

This confidentiality obligation shall survive the termination of this Agreement for a period of {{confidentiality_period_years}} years.

Intellectual Property

All intellectual property, including but not limited to copyrights, patents, trademarks, and trade secrets, developed or conceived by the Consultant in the course of performing the Services under this Agreement shall be the sole and exclusive property of the Client.

The Consultant agrees to execute any and all documents necessary to assign such intellectual property rights to the Client.

Termination

Either Party may terminate this Agreement by providing {{notice_period_days_termination}} days’ written notice to the other Party.

Notwithstanding the foregoing, the Client may terminate this Agreement immediately upon written notice if the Consultant breaches any material provision of this Agreement and fails to cure such breach within {{cure_period_days}} days of receiving written notice thereof.

Upon termination of this Agreement, the Consultant shall promptly return to the Client all Confidential Information and any other property belonging to the Client.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}.

Any dispute, controversy, or claim arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by {{arbitration_body}} in accordance with its rules, held in {{arbitration_city}}, {{arbitration_country}}.

Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.
