PARTIES

This Subcontract Agreement (the "Agreement") is made and entered into as of {{date}} by and between:

(hereinafter referred to as "Subcontractor")

RECITALS

WHEREAS, the Main Contractor has entered into a primary agreement with {{client_name}} (the "Client") for the execution of the project located at {{project_location}} (the "Main Project"), dated {{main_project_agreement_date}}.

WHEREAS, the Main Contractor desires to engage the Subcontractor to perform certain specialized services or works as part of the Main Project, and the Subcontractor is willing and able to provide such services or works on the terms and conditions set forth herein.

SCOPE OF WORK

The Subcontractor agrees to perform the following services/works (the "Subcontract Works") in accordance with the specifications, drawings, and schedule outlined in Annexure A (Scope of Work) attached hereto and forming an integral part of this Agreement:

The Subcontractor shall provide all necessary labour, materials, equipment, and supervision required to complete the Subcontract Works to the highest industry standards and to the satisfaction of the Main Contractor and the Client.

COMMENCEMENT AND COMPLETION

The Subcontractor shall commence the Subcontract Works on or before {{start_date}} and shall complete the Subcontract Works on or before {{completion_date}}, or such other date as may be mutually agreed upon in writing by both parties.

Time is of the essence in the performance of the Subcontract Works.

PAYMENT TERMS

In consideration for the due and proper performance of the Subcontract Works, the Main Contractor shall pay the Subcontractor the total sum of {{total_contract_amount}} ({{total_contract_amount_words}}) subject to the terms herein.

Payment shall be made in accordance with the following schedule:

1. An upfront payment of {{upfront_payment_percentage}}% ({{upfront_payment_amount}}) upon signing of this Agreement.

2. Progress payments based on completed milestones as set out in Annexure B (Payment Schedule) attached hereto.

3. A final payment of {{final_payment_percentage}}% ({{final_payment_amount}}) upon successful completion and acceptance of all Subcontract Works by the Main Contractor and the Client.

All invoices shall be submitted by the Subcontractor to the Main Contractor for approval. Payment terms for approved invoices shall be {{payment_days}} days from the date of invoice. All payments shall be made via electronic funds transfer to the Subcontractor's nominated bank account: {{subcontractor_bank_name}}, Account Number: {{subcontractor_bank_account_number}}, Branch Code: {{subcontractor_bank_branch_code}}.

INDEPENDENT CONTRACTOR STATUS

The Subcontractor is an independent contractor and not an employee, partner, or joint venture of the Main Contractor. The Subcontractor shall be solely responsible for all taxes, national insurance contributions, benefits, and other employment-related expenses pertaining to its employees and agents.

INDEMNIFICATION

The Subcontractor shall indemnify and hold harmless the Main Contractor, its officers, directors, employees, and agents from and against all claims, damages, losses, and expenses, including but not limited to legal fees, arising out of or resulting from the performance of the Subcontract Works, provided that such claim, damage, loss, or expense is attributable to bodily injury, sickness, disease, death, or to injury to or destruction of tangible property (other than the Subcontract Works itself), including loss of use resulting therefrom, but only to the extent caused in whole or in part by negligent acts or omissions of the Subcontractor, a Sub-subcontractor, anyone directly or indirectly employed by them, or anyone for whose acts they may be liable, regardless of whether or not such claim, damage, loss, or expense is caused in part by a party indemnified hereunder.

INSURANCE

The Subcontractor shall maintain, at its own expense, adequate insurance coverage, including but not limited to, Public Liability Insurance with a minimum coverage of {{public_liability_insurance_amount}}, Contractor's All Risks Insurance, and Workers' Compensation Insurance, for the duration of the Subcontract Works. Certificates of insurance shall be provided to the Main Contractor upon request.

TERMINATION

This Agreement may be terminated by either party in the event of a material breach of its terms by the other party, provided that written notice of such breach has been given and the breaching party has failed to remedy the breach within {{cure_period_days}} days of receiving such notice.

The Main Contractor may terminate this Agreement for convenience upon {{notice_period_days}} days' written notice to the Subcontractor. In such an event, the Main Contractor shall pay the Subcontractor for all Subcontract Works performed up to the date of termination and for reasonable demobilisation costs.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_country}}.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of {{arbitration_institution}}.

ENTIRE AGREEMENT

This Agreement, including all attached Annexures, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
