This Talent Agreement ("Agreement") is made and entered into on this {{day}} day of {{month}}, {{year}}, by and between:

{{company_name}}, a company duly incorporated and existing under the laws of {{country}}, with its principal place of business at {{company_address}} (hereinafter referred to as "the Company" or "Client"), and

Engagement and Scope of Services

The Company hereby engages the Talent, and the Talent hereby accepts such engagement, to provide the following services (the "Services"): {{description_of_services}}.

The Talent agrees to perform the Services to the best of their ability, in a professional and timely manner, and in accordance with any specifications or instructions provided by the Company.

The term of this Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, unless terminated earlier in accordance with the provisions of this Agreement.

Remuneration and Payment Terms

In consideration for the Services rendered by the Talent, the Company shall pay the Talent a total fee of {{total_fee}} {{currency}} ({{total_fee_words}}).

Intellectual Property Rights

The Talent acknowledges and agrees that all intellectual property rights, including but not limited to copyrights, trademarks, and patents, in any work, materials, or deliverables created by the Talent in the course of performing the Services under this Agreement shall belong exclusively to the Company.

Confidentiality

The Talent agrees to keep confidential all non-public information, materials, and data (

) disclosed by the Company during the term of this Agreement and for a period of {{confidentiality_period}} years thereafter.

The Talent shall not disclose, reproduce, or use Confidential Information for any purpose other than performing the Services, without the prior written consent of the Company.

Independent Contractor Status

The Talent is an independent contractor and not an employee of the Company. Nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture between the Company and the Talent.

The Talent shall be solely responsible for providing their own equipment, tools, and materials necessary to perform the Services, unless otherwise agreed in writing by the Company.

Termination

This Agreement may be terminated by either party upon {{notice_period}} days' written notice to the other party.

The Company may terminate this Agreement immediately without notice if the Talent breaches any material term of this Agreement or engages in any conduct that is detrimental to the Company's reputation or business interests.

Upon termination, the Talent shall be paid for Services rendered up to the date of termination, and shall immediately return all Company property and Confidential Information.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

Entire Agreement
