TRANSPORT CONTRACT

This Transport Contract ('Agreement') is entered into on this {{day}} day of {{month}}, {{year}}, between:

{{company_name}} (hereinafter referred to as the 'Client'), a company duly registered under the laws of {{country}}, with its principal place of business at {{company_address}}.

AND

{{transporter_name}} (hereinafter referred to as the 'Transporter'), a company/individual duly registered under the laws of {{country}}, with its principal place of business at {{transporter_address}}/identification number {{transporter_id_number}}.

1. SCOPE OF SERVICES

1.1 The Client hereby engages the Transporter to provide transportation services for {{goods_or_passengers}} as detailed in Schedule A attached hereto ('Services').

1.2 The Services shall include, but not be limited to, the collection of {{cargo_type}} from {{collection_point}} and delivery to {{delivery_point}}.

1.3 The Transporter shall be responsible for ensuring the safe and timely delivery of the {{cargo_type}}.

2. DURATION OF AGREEMENT

2.1 This Agreement shall commence on {{start_date}} and shall continue until {{end_date}}, or until the completion of the Services, unless terminated earlier in accordance with the provisions of this Agreement.

2.2 For ongoing services, this Agreement shall be valid for a period of {{duration_in_months}} months/years, automatically renewable unless either party provides written notice of non-renewal {{notice_period}} days prior to the expiry date.

3. TRANSPORTER'S RESPONSIBILITIES

3.1 The Transporter shall provide suitably qualified personnel and appropriate vehicles for the performance of the Services.

3.2 The Transporter shall maintain all necessary licenses, permits, and insurance required for performing the Services in {{country}}.

3.3 The Transporter shall adhere to all applicable traffic laws, regulations, and industry standards.

3.4 The Transporter shall notify the Client immediately of any delays, accidents, or incidents affecting the Services.

4. CLIENT'S RESPONSIBILITIES

4.1 The Client shall provide accurate and complete information regarding the {{cargo_type}}, including type, weight, dimensions, and any special handling instructions.

4.2 The Client shall ensure that the {{cargo_type}} is properly packaged and ready for collection at the agreed time and location.

4.3 The Client shall make timely payments for the Services as stipulated in Clause 5.

5. REMUNERATION AND PAYMENT TERMS

5.1 The Client shall pay the Transporter a fee of {{total_fee}} ({{currency}}) for the Services, as detailed in Schedule B attached hereto, or a rate of {{rate_per_unit}} ({{currency}}) per {{unit_of_measure}}.

5.2 Payment shall be made within {{payment_days}} days of the Transporter submitting a valid invoice.

5.3 All payments shall be made via {{payment_method}} to the Transporter's nominated bank account.

6. INSURANCE

6.1 The Transporter shall maintain adequate insurance coverage for the {{cargo_type}} against loss, damage, or theft during transit, as well as third-party liability insurance.

6.2 Proof of insurance shall be provided to the Client upon request.

7. INDEMNIFICATION

7.1 The Transporter agrees to indemnify and hold harmless the Client from and against any and all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising out of or in connection with the Transporter's performance of the Services, including but not limited to, any negligence or willful misconduct of the Transporter or its employees.

7.2 The Client agrees to indemnify and hold harmless the Transporter from and against any and all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising out of or in connection with the Client's breach of this Agreement.

8. CONFIDENTIALITY

8.1 Both parties agree to keep confidential all proprietary and confidential information disclosed during the course of this Agreement.

8.2 This obligation of confidentiality shall survive the termination of this Agreement.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 This Agreement shall be governed by and construed in accordance with the laws of {{country}}.

9.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through good faith negotiations between the parties.

9.3 If the dispute cannot be resolved through negotiation, it shall be referred to mediation in {{city}}, {{country}} in accordance with the rules of {{mediation_body}}.

9.4 If mediation fails, the dispute shall be finally settled by arbitration in {{city}}, {{country}} in accordance with the rules of {{arbitration_body}}.

10. ENTIRE AGREEMENT

10.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether written or oral.

10.2 Any modifications or amendments to this Agreement must be in writing and signed by both parties.
