This Website Design Agreement (the “Agreement”) is made and entered into as of the Effective Date by and between:

1. Services to be Performed
The Designer agrees to provide website design and development services (the “Services”) to the Client as described in detail in Appendix A (Scope of Work). This includes, but is not limited to, the design, development, and delivery of a functional website consistent with the specifications outlined therein.
Any changes or additions to the Scope of Work must be documented in writing and agreed upon by both parties, potentially leading to adjustments in the project timeline and fees.
2. Project Timeline and Deliverables
The estimated project timeline for the completion of the Services is {{project_timeline_duration}} from the Effective Date of this Agreement. Key milestones and deliverables, along with their respective deadlines, are detailed in Appendix A (Scope of Work).
The Client acknowledges that timely provision of necessary content, feedback, and approvals is crucial for adherence to the project timeline. Delays caused by the Client may result in an extension of the project timeline and may incur additional costs.
3. Fees and Payment
The total fee for the Services is {{total_fee_currency}} {{total_fee_amount}} ({{total_fee_words}}). This fee shall be paid by the Client to the Designer according to the following schedule:
(a) {{upfront_payment_percentage}}% ({{upfront_payment_amount_currency}} {{upfront_payment_amount}}) upon signing of this Agreement (non-refundable deposit).
(b) {{milestone_payment_percentage}}% ({{milestone_payment_amount_currency}} {{milestone_payment_amount}}) upon completion of {{milestone_description}}.
(c) The remaining {{final_payment_percentage}}% ({{final_payment_amount_currency}} {{final_payment_amount}}) upon final approval of the website and prior to launch.
Payments shall be made within {{payment_due_days}} days of the invoice date. Late payments may be subject to an interest charge of {{late_payment_interest_rate}}% per month.
4. Client Responsibilities
The Client agrees to provide all necessary content, including text, images, logos, and other media, in a timely manner as requested by the Designer. The Client warrants that all provided materials are owned by the Client or that the Client has the necessary permissions to use them, and that they do not infringe upon the intellectual property rights of any third party.
The Client will provide prompt feedback and approvals on design concepts, mock-ups, and website stages to ensure the project progresses efficiently. Delays in feedback may affect the project timeline.
5. Intellectual Property
Upon full payment of all fees due under this Agreement, the Client shall own all intellectual property rights in the final website design and code created by the Designer specifically for this project. This includes, but is not limited to, copyright in the visual design elements, source code, and any custom programming.
The Designer retains all intellectual property rights to any pre-existing software, tools, or techniques used in the development of the website, granting the Client a non-exclusive, perpetual license to use these solely for the operation of the website developed under this Agreement.
The Client grants the Designer a non-exclusive, royalty-free license to use the completed website in their portfolio for promotional purposes.
6. Maintenance and Support
Unless otherwise specified in Appendix A, this Agreement does not include ongoing website maintenance or support services. Any such services required after the launch of the website will be subject to a separate agreement and additional fees.
The Designer may offer an optional maintenance package; details of which can be provided upon request.
7. Confidentiality
Both parties agree to keep confidential all proprietary and sensitive information disclosed during the course of this Agreement. This includes, but is not limited to, business strategies, financial information, client data, and technical specifications. This obligation of confidentiality shall survive the termination of this Agreement.
Publicity regarding the project will be mutually agreed upon by both parties.
8. Termination
This Agreement may be terminated by either party upon {{notice_period}} days' written notice if the other party breaches any material term of this Agreement and fails to cure such breach within that notice period.
In the event of termination by the Client without cause, the Client agrees to pay for all work completed up to the date of termination, and any non-refundable deposits shall be forfeited.
In the event of termination by the Designer without cause, the Designer shall refund any unearned fees paid by the Client.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of {{country_name}}, without regard to its conflict of laws principles.
Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of {{country_name}}.
10. Entire Agreement
This Agreement, including Appendix A (Scope of Work), constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
