Agreement Between Carrier and Shipper
This Agreement (the "Agreement") is made and entered into as of {{date}} (the "Effective Date"), by and between:
{{carrier_company_name}}, a company duly organized and existing under the laws of {{carrier_jurisdiction}}, with its principal place of business at {{carrier_address}} (hereinafter referred to as the "Carrier"); and
{{shipper_company_name}}, a company duly organized and existing under the laws of {{shipper_jurisdiction}}, with its principal place of business at {{shipper_address}} (hereinafter referred to as the "Shipper").
The Carrier and the Shipper are hereinafter collectively referred to as the "Parties" and individually as a "Party."
Recitals
WHEREAS, the Shipper desires to engage the services of the Carrier for the transportation of goods; and
WHEREAS, the Carrier is duly licensed and qualified to provide transportation services; and
WHEREAS, the Parties wish to set forth the terms and conditions under which such transportation services will be rendered.
NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the Parties agree as follows:
Scope of Services
The Carrier agrees to transport goods (the "Goods") for the Shipper from various pickup locations to various delivery destinations, as specified in individual shipping orders or bills of lading (each, a "Shipping Order").
Each Shipping Order shall be subject to the terms and conditions of this Agreement.
The Carrier shall use reasonable care and diligence in the handling and transportation of all Goods.
Rates and Payment
The Shipper agrees to pay the Carrier for its services at the rates specified in the attached Rate Schedule, or as otherwise agreed upon in writing between the Parties.
Invoices shall be submitted by the Carrier to the Shipper on a {{billing_frequency}} basis, or as otherwise agreed.
Payment terms are {{payment_terms_days}} days from the date of invoice. All payments shall be made in {{currency}}.
Late payments may be subject to an interest charge of {{late_payment_interest_rate}}% per month or the maximum allowed by law, whichever is less.
Carrier's Responsibilities
The Carrier shall be responsible for obtaining all necessary licenses, permits, and insurance required for the transportation of Goods.
The Carrier shall provide suitable equipment and qualified personnel for the safe and efficient transportation of the Goods.
The Carrier shall load, transport, and unload the Goods in a careful and professional manner.
The Carrier shall notify the Shipper promptly of any delays, damage, or loss concerning the Goods.
Shipper's Responsibilities
The Shipper shall provide accurate and complete information regarding the Goods, including but not limited to, description, weight, dimensions, special handling instructions, and declared value.
The Shipper shall properly pack and label the Goods for transportation.
The Shipper shall ensure that the Goods are ready for pickup at the agreed-upon time and location.
The Shipper shall be responsible for all accessorial charges arising from inaccurate information provided or special services requested.
Loss or Damage
The Carrier shall be liable for loss or damage to the Goods while in its custody, subject to the limitations set forth in this Agreement and applicable law.
The Carrier's liability for loss or damage shall not exceed the lesser of the actual value of the Goods or {{liability_limit_amount}} per {{unit_of_measure}}, unless a higher declared value is specifically agreed upon in writing by the Parties and an additional charge is paid.
Claims for loss or damage must be submitted by the Shipper to the Carrier in writing within {{claims_submission_days}} days of delivery, or scheduled delivery date in case of total loss.
Indemnification
The Shipper shall indemnify, defend, and hold harmless the Carrier, its officers, agents, and employees, from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
1. The Shipper's breach of any term or condition of this Agreement.
2. The Shipper's negligence or willful misconduct.
3. The inaccuracy or incompleteness of information provided by the Shipper regarding the Goods.
The Carrier shall indemnify, defend, and hold harmless the Shipper, its officers, agents, and employees, from and against any and all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
1. The Carrier's breach of any term or condition of this Agreement.
2. The Carrier's negligence or willful misconduct.
3. The Carrier's failure to comply with applicable laws and regulations.
Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}}, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the {{arbitration_institution}}.

Entire Agreement
This Agreement, including any attached schedules and addendums, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
