AGREEMENT RELATING TO AN ELECTED DOMICILE
Entered into by and between:
{{party_one_name}} (Registration Number: {{party_one_registration_number}}), a company duly incorporated and existing under the laws of {{country_one}}, with its principal place of business at {{party_one_address}} (hereinafter referred to as “Party A”)
AND
{{party_two_name}} (Registration Number: {{party_two_registration_number}}), a company duly incorporated and existing under the laws of {{country_two}}, with its principal place of business at {{party_two_address}} (hereinafter referred to as “Party B”)
(Hereinafter collectively referred to as “the Parties” and individually as “a Party”)
1. ELECTION OF DOMICILE
1.1. Party A hereby elects its physical address at {{party_a_domicile_address}} as its chosen domicilium citandi et executandi (domicile for all purposes relating to judicial process and notices) for all purposes arising from or in connection with this Agreement.
1.2. Party B hereby elects its physical address at {{party_b_domicile_address}} as its chosen domicilium citandi et executandi (domicile for all purposes relating to judicial process and notices) for all purposes arising from or in connection with this Agreement.
2. NOTICES AND LEGAL PROCESS
2.1. Any notice or legal process to be served upon a Party in terms of this Agreement will be validly and effectively served if delivered to the elected domicilium citandi et executandi of that Party.
2.2. Any notice given by one Party to another (“the Addressee”) shall be in writing and dispatched to the Addressee’s domicilium citandi et executandi by hand, registered post, or email. The notice shall be deemed to have been received:
2.2.1. if delivered by hand, on the date of delivery;
2.2.2. if sent by registered post, on the seventh (7th) business day after posting; or
2.2.3. if sent by email, on the date of confirmation of receipt by the Addressee.
2.3. Notwithstanding anything to the contrary herein contained, a written notice or communication actually received by a Party shall be an adequate written notice or communication to it notwithstanding that it was not sent to or delivered at its chosen domicilium citandi et executandi.
3. CHANGE OF DOMICILE
3.1. A Party may change its domicilium citandi et executandi from time to time by giving not less than ten (10) business days’ prior written notice to the other Party.
3.2. Such notice must clearly state the new physical address which must be a physical address within {{relevant_country}}.
4. GOVERNING LAW AND JURISDICTION
4.1. This Agreement shall be governed by and construed in accordance with the laws of {{governing_law_country}}.
4.2. The Parties hereby consent to the non-exclusive jurisdiction of the {{court_name}} in respect of any dispute arising out of or in connection with this Agreement.
5. WHOLE AGREEMENT
5.1. This Agreement constitutes the entire agreement between the Parties relating to the subject matter hereof and supersedes all prior agreements, understandings, proposals, and representations, whether written or oral, between the Parties.
5.2. No alteration, cancellation, variation of, or addition to this Agreement shall be of any force or effect unless reduced to writing and signed by or on behalf of both Parties.
