AIRBNB ARBITRAGE AGREEMENT
This Airbnb Arbitrage Agreement (hereinafter referred to as the “Agreement”) is made and entered into this {{date}} day of {{month}}, {{year}} (the “Effective Date”)
BETWEEN:
{{owner_name}} of {{owner_address}} (hereinafter referred to as the “Property Owner”)
AND
{{arbitrageur_name}} of {{arbitrageur_address}} (hereinafter referred to as the “Arbitrageur”)
(Collectively referred to as the “Parties” and individually as a “Party”)
1. PURPOSE OF AGREEMENT
The Property Owner hereby grants the Arbitrageur the exclusive right to market, manage, and operate the property located at {{property_address}} (hereinafter referred to as the “Property”) as a short-term rental unit, primarily through the Airbnb platform, under an arbitrage model. The Arbitrageur agrees to lease the Property from the Property Owner and subsequently sublet it to guests.
2. TERM OF AGREEMENT
This Agreement shall commence on the Effective Date and continue for a period of {{term_months}} months, expiring on {{end_date}}, unless terminated earlier in accordance with the provisions herein. This Agreement may be renewed upon mutual written consent of both Parties.
3. LEASE AND RENTAL PAYMENTS
3.1. The Arbitrageur shall pay the Property Owner a fixed monthly lease amount of {{monthly_lease_amount}} ({{currency}}) on or before the {{payment_day}} day of each month.
3.2. All payments shall be made directly to the Property Owner's nominated bank account: Account Name: {{owner_bank_account_name}}, Bank: {{owner_bank_name}}, Account Number: {{owner_bank_account_number}}, Branch Code: {{owner_bank_branch_code}}.
3.3. In addition to the fixed monthly lease, the Parties agree to a revenue sharing model where the Arbitrageur will pay the Property Owner {{owner_percentage}}% of the net profit generated from the Airbnb operations, calculated quarterly. Net profit is defined as total revenue less direct operating expenses (excluding the fixed monthly lease payment).
3.4. A detailed statement of accounts will be provided by the Arbitrageur to the Property Owner no later than {{reporting_days}} days after the end of each quarter.
4. ARBITRAGEUR'S RESPONSIBILITIES
4.1. The Arbitrageur shall be responsible for all aspects of operating the Property as a short-term rental, including but not limited to: creating and managing listings on Airbnb and other platforms, pricing strategies, guest communication, check-ins/check-outs, cleaning, maintenance of all fixtures and fittings, and general property management.
4.2. The Arbitrageur shall ensure the Property is maintained in a clean, safe, and habitable condition at all times and complies with all local regulations pertaining to short-term rentals.
4.3. The Arbitrageur shall bear all costs associated with consumables (e.g., toiletries, cleaning supplies), minor repairs up to {{minor_repair_limit}} ({{currency}}), and utility bills (e.g., electricity, water, internet) unless otherwise agreed in writing.
4.4. The Arbitrageur shall hold appropriate public liability insurance for the Property, naming the Property Owner as an interested party, to the value of at least {{insurance_amount}} ({{currency}}).
5. PROPERTY OWNER'S RESPONSIBILITIES
5.1. The Property Owner shall ensure the Property is structurally sound, compliant with all building codes, and free from any major defects at the commencement of this Agreement.
5.2. The Property Owner shall be responsible for major repairs to the Property's structure, roof, plumbing, and electrical systems, unless such damage is caused by the Arbitrageur or their guests.
5.3. The Property Owner grants the Arbitrageur access to the Property for the purpose of fulfilling their responsibilities under this Agreement.
5.4. The Property Owner shall not interfere with the Arbitrageur's management or operations of the Property, provided the Arbitrageur adheres to the terms of this Agreement.
6. INDEMNIFICATION
The Arbitrageur agrees to indemnify and hold harmless the Property Owner from any and all claims, demands, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with the Arbitrageur's operations, neglect, default, or any breach of this Agreement, except where such claims arise from the gross negligence or willful misconduct of the Property Owner.
7. DISPUTE RESOLUTION
Any dispute, controversy, or claim arising out of or relating to this Agreement, including its existence, validity, interpretation, performance, breach, or termination, shall first be subjected to good faith negotiations between the Parties. If the dispute cannot be resolved through negotiation, the Parties agree to submit the dispute to mediation in {{city}}, {{country}} before instituting any litigation.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of {{country}}.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to the subject matter hereof. No amendment or modification of this Agreement shall be valid unless in writing and signed by both Parties.
