Amendment to Sales Contract

This Amendment (the "Amendment") is made and entered into as of the Amendment Date, by and between:

{{seller_company_name}}, a company duly incorporated and existing under the laws of {{seller_jurisdiction}}, with its principal place of business at {{seller_address}} (hereinafter "Seller");

AND

{{buyer_company_name}}, a company duly incorporated and existing under the laws of {{buyer_jurisdiction}}, with its principal place of business at {{buyer_address}} (hereinafter "Buyer").

Seller and Buyer are hereinafter collectively referred to as the “Parties” and individually as a “Party”.

Recitals

WHEREAS, the Parties previously entered into a Sales Contract dated {{original_contract_date}} for the sale and purchase of {{goods_or_services}} (the “Original Contract”);

WHEREAS, the Parties now desire to amend certain terms and conditions of the Original Contract as set forth herein;

Amendments

The Parties hereby agree to amend the Original Contract as follows:

1. **[SPECIFIC AMENDMENT 1]:** Article/Clause {{original_contract_clause_number_1}} of the Original Contract shall be deleted in its entirety and replaced with the following: "{{new_clause_content_1}}".

2. **[SPECIFIC AMENDMENT 2]:** The price of {{item_or_service_2}} as stated in Schedule {{schedule_number_2}} of the Original Contract shall be amended from {{original_price_2}} to {{new_price_2}} ({{currency}}).

Effect of Amendment

Except as expressly modified by this Amendment, all other terms and conditions of the Original Contract shall remain in full force and effect and are hereby ratified and confirmed by the Parties.

Governing Law

This Amendment and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of {{governing_law_jurisdiction}}.

Entire Agreement

This Amendment, together with the Original Contract, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written, relating to this subject matter.

Counterparts

This Amendment may be executed in any number of counterparts, each of which when executed and delivered shall constitute a duplicate original, but all counterparts together shall constitute one and the same instrument.
