PARTIES

This Catering Contract ("Agreement") is made and entered into on this {{date}} by and between:

**Caterer:** {{caterer_company_name}}, a company duly incorporated under the laws of {{caterer_jurisdiction}}, with its principal place of business at {{caterer_address}} (hereinafter referred to as "Caterer").

**Client:** {{client_full_name}} (Individual/Company Name), with an address at {{client_address}}, (hereinafter referred to as "Client").

EVENT DETAILS

The Client hereby engages the Caterer to provide catering services for the following event:

CATERING SERVICES AND MENU

The Caterer shall provide the catering services as per the agreed menu and service package outlined in **Schedule A: Menu and Services**, attached hereto and forming an integral part of this Agreement. Any changes to the menu or services must be agreed upon in writing by both parties.

The Caterer agrees to provide food and beverages of high quality, prepared and served in a professional manner, adhering to all relevant health and safety regulations.

FEES AND PAYMENT

The total fee for the catering services shall be {{total_fee_currency}} {{total_fee_amount}} ({{total_fee_words}}).

A non-refundable deposit of {{deposit_currency}} {{deposit_amount}} ({{deposit_words}}) shall be paid by the Client to the Caterer by {{deposit_due_date}}.

Payments shall be made via {{payment_method}}. Invoices will be issued by the Caterer as per the agreed payment schedule. Overdue payments may incur an interest charge of {{interest_rate}}% per annum.

CANCELLATION POLICY

In the event of cancellation by the Client:

- If cancellation occurs {{number_of_days_full_refund}} days or more before the event date, the deposit will be retained by the Caterer, and no further payment will be required.

- If cancellation occurs between {{number_of_days_partial_refund_start}} and {{number_of_days_partial_refund_end}} days before the event date, {{cancellation_percentage_partial_refund}}% of the total fee will be due and payable.

- If cancellation occurs less than {{number_of_days_full_charge}} days before the event date, {{cancellation_percentage_full_charge}}% of the total fee will be due and payable.

Cancellations must be communicated to the Caterer in writing.

LIABILITY AND INDEMNITY

The Caterer shall maintain appropriate public liability insurance. The Caterer shall not be liable for any indirect or consequential loss or damage suffered by the Client arising out of the performance or non-performance of this Agreement.

The Client agrees to indemnify and hold harmless the Caterer from any claims, damages, liabilities, or expenses (including reasonable attorney's fees) arising from the Client's negligence or breach of this Agreement.

FORCE MAJEURE

Neither party shall be liable for any failure or delay in performing its obligations under this Agreement where such failure or delay results from any cause beyond the reasonable control of that party, including, but not limited to, acts of God, war, strikes, lock-outs, industrial disputes, epidemic, pandemic, fire, flood, or government orders or restrictions.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of {{governing_jurisdiction}} (e.g., South Africa).

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the {{arbitration_body}} (e.g., Arbitration Foundation of Southern Africa (AFSA)), which rules are deemed to be incorporated by reference into this clause.

ENTIRE AGREEMENT

This Agreement, including Schedule A, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
